Investment Specialist (Private Equity) JOB PURPOSE Support the origination, development, due diligence, approval and implementation of commerciallyoriented private equity investment opportunities (both fund and direct co-investments originated by investee funds) that support ADB’s development objectives for the private sector and overall goal of reducing poverty. The ideal candidate will have a demonstrated track record of closing successful transactions including private equity funds and/or direct equity investments in developing markets, typically as a banker or developer. ADB’s Investment Funds and Special Initiatives (PSIS) division makes private equity (PE) fund and direct equity investments across a broad range of sectors in Asia. These sectors include (a) infrastructure, (b) climate change related; (c) financial services; and (d) education and health. ADB’s PE business also focuses on growth equity and buyout funds that cater to the developing and frontier markets in Asia. Work with broad policies and objectives, working directly with clients, with supervision for critical tasks. EXPECTED OUTCOMES Project Development and Processing Conduct industry and market research to learn of fund management teams in Asia that align with ADB’s PE investment strategy and mandate for the private sector Cultivate and maintain relationships with those fund managers in order to position ADB for investment Analyze potential fund investment opportunities, including evaluating the fund manager's track record, investment strategy, value-add, and investment team Draft and present internal proposals for approval by ADB's Investment Committee and Board Negotiate, structure and complete fund documentation Support fund raising activities for the fund Serve on Advisory Boards of portfolio entities, as required Attend annual investor meetings for underlying funds Identify and execute co-investment transactions that support ADB's mission, strategies and policies Work closely with the portfolio monitoring unit in implementing effective fund monitoring and administration. Ensure compliance with investment strategy, covenants, environmental and social safeguard requirements, and recommend corrective actions as necessary. Actively monitor fund financial performance and actions, including divestitures Undertake the implementation and the hand-over of administration of private equity funds and direct equity investments, ensuring compliance with required guidelines, policies and procedures as well as agreed covenants and reporting requirements up to financing effectiveness. Perform the role of a nominee director on the board of ADB’s investee companies representing ADB’s interests in accordance with the principles of sound corporate governance, as assigned External Liaison Facilitate or lead active relationships with commercial lenders and other financial partners in the region and beyond as well as with developers, investors and governments. Assess and structure transactions to maximize the potential for commercial co-financing and catalyzing of additional sources of capital. Economic, Sector and Thematic Work Draft, review and provide comments on project, policy and other papers related to private sector development and operations issues in various themes and sectors Knowledge Sharing Participate in and contribute to relevant internal and external sessions, training and conferences and other activities for advocacy, dissemination and knowledge building Maintain and share knowledge of international best market practices and global and regional trends in the targeted sectors Strategy and Planning Work with division team to help achieve ADB’s PE fund business goals and objectives Participate in country teams and missions for planning and programming purposes with particular focus on private sector development and operations and for the identification of investment opportunities in assigned Developing Member Countries of ADB Staff Supervision Take the role of team leader and supervise the work of team members in executing deals Supervise the performance of reporting staff, providing clear direction and regular monitoring and feedback on performance Ensure the on-going learning and development of reporting staff EDUCATION REQUIREMENTS Master's Degree in Finance, Business Administration or equivalent. University degree combined with specialized experience in similar organization/s may be considered in lieu of a Master’s degree RELEVANT EXPERIENCE At least 8 years of relevant professional experience in investment banking, private equity, or management consulting.
