BACKGROUND WHEREAS, Advertiser wishes to engage Cutting Edge Media, Inc. Advertiser has a reasonable basis for all express and implied claims made in the Advertisements, including but not limited to claims relating to earnings, performance, features, safety, price, or effectiveness. A “reasonable basis” means objective evidence to support the claims. 7. Advertiser has the appropriate type and amount of evidence to support the claims, based upon the product, the claims and what experts in Advertiser’s field believe is necessary, including but not limited to: (1) the level of evidence Advertiser states it has; and (2) competent and reliable scientific evidence to support health and safety claims (“competent and reliable scientific evidence” includes tests or studies that were conducted using methods that experts in the field accept as accurate or other scientific evidence that has been evaluated by qualified individuals). 8. Advertiser understands and agrees that statements from satisfied customers usually are not sufficient to substantiate a claim. Further, offering a money-back guarantee is not a substitute for substantiation. 9. All endorsements utilized by Advertiser reflect the honest opinions, findings, beliefs, or experience of the endorser. 10. The endorsements utilized by Advertiser do not contain any express or implied representation that would be deceptive if made directly by Advertiser. 11. Advertiser possesses adequate substantiation to support claims made through endorsements in the same manner Advertiser would be required to do if it had made the representation directly. 12. If an endorsement utilized by Advertiser represents that the endorser uses the endorsed product, the endorser actually used the product at the time the endorsement was given. 13. Endorsements by consumers reflect the typical experience of consumers who use the product, or the Advertisements clearly and conspicuously discloses either: (1) the generally expected performance in the depicted circumstances (substantiated); or (2) the limited applicability of the endorser’s experience. 14. Advertiser understands and agrees that statements such as, “results not typical” or “you are not likely to have similar results” are insufficient disclaimers. 15. Advertiser agrees to indemnify, defend and hold harmless CEM and its officers, directors, agents, affiliates, publishers, and employees from and against all claims, actions, liabilities, losses, expenses, damages, and costs (including, without limitation, reasonable attorney’s fees) that may at any time be incurred by any of them by reason of any claims, suits, inquiries, investigations, or proceedings: (1) for libel, defamation, violation of rights of privacy or publicity, copyright infringement, trademark infringement, or other infringement of any third party right, fraud, false advertising, misrepresentation, product liability, violation of Advertiser’s privacy policy, or violation of any law, statute, ordinance, rule or regulation throughout the world in connection with Advertiser’s product or service, the Advertisements or with personal information collected or used by Advertiser, including without limitation Section 5(a) of the FTC Act and similar state statutes, the Telemarketing and Consumer Fraud and Abuse Prevention Act, the Telemarketing Sales Rule, the Mail or Telephone Order Merchandise Rule, the CAN-SPAM Act of 2003, the Franchise and Business Opportunity Rule, the Negative Option Rule, the Electronic Fund Transfer Act and Regulation E, the FTC Guide Concerning Use of the Word “Free” and Similar Representations, and the FTC Guides Concerning Use of Endorsements and Testimonials in Advertising; or (2) arising out of any misrepresentation in this Declaration.
