Thrive Marketing, LLC Terms of Service Payment of this invoice constitutes an acceptance of the Thrive Marketing, LLC Terms of Service and as an approval of the color, sizes and quantities of each product ordered. We encourage you to read the Terms of Service. The Thrive Marketing LLC Terms of Service can be read at: What this Agreement Governs This Agreement governs your use of the website(s) of Thrive Marketing, LLC and service of Thrive Marketing. The agreement also governs any customer who has submitted payment after receiving an invoice from Thrive Marketing, LLC. You understand that by using the Site and the Service, you have agreed to the terms and conditions of this Agreement and you agree to use the Site and the Service solely as provided in this Agreement. Turnaround Time Typical turnaround time is 10-14 working days from the time that payment has been processed and art mockups are approved with a signature or via email. This means that the customer has provided acceptable art files and has been responsive in the approval process. Delay in receipt of any of this info could result in an order delay. Most mockups are sent within 48 business hours, after receiving payment and all necessary information. Our current turnaround time is 10-14 business days, complex orders and add-ons may increase turnaround time. Delay in approval of mock ups could also result in production delays. If you have a deadline for your order, it is very important that you let us know when placing your order. A rush fee may apply if there is not enough time to complete your order under normal circumstances. If you do not advise of a due date until after your order has been paid for and pushed through our system, we may not be able to accommodate your request. Any circumstances out of Thrive Marketing’s control (i.e.: weather delays, shipping errors by the supplier, etc.) may also require more time. Turnaround time on larger orders, 1,250 pieces or more than 4 designs, may require longer time to produce. Please inquire about our current turnaround time on larger orders. Art Approval You as our customer are responsible for verifying final artwork and to correct spelling or any other mistakes to be printed on garment. Upon approval from client, Thrive Marketing, LLC. will not be held responsible for typos or overlooked errors once the printing process has begun. All sales are final and no refunds will be given since customer approval is a prerequisite to processing each order. All artwork is to be approved via a digital mock-up through email. Artwork must be checked for spelling, color, sizes ordered, placement of the art and accuracy of artwork by the customer. Review every detail of the mockup, as this is how your garments will print. Thrive will not accept responsibility for corrections requested after artwork approval. While we will attempt to remediate the issue, if the order has already went into production, there is little we can do to remedy it. Any modifications requested after customer approval may result in production delays. Thrive Marketing, LLC Terms of Service Any delays in the approval process longer than 24 hours after receipt of the mockup could result in production delays. The imprint size will be noted on the design mockup. Designs will be sized for the smallest sized garment within an order. Ex: An order contains both youth and adult sized garments that are to receive the same imprint. The imprints will be sized for the smallest youth sized garment. The imprint placement will be specified on the sales order and design mockup. Precise location will slightly differ on each garment. Color Matching You can choose any of the colors by requesting the PMS catalog from a Thrive Employee. Custom pantones will cost $15 to match that color. Color and pantone matching on textiles is not exact or guaranteed although we typically are able to print colors very close, if not perfectly matched. There may be a reasonable variation in color due to a number of factors. One cannot trust the colors in our mockup to be true when viewed on a monitor or printed page. We cannot be held responsible for a color verified against the visual mockup only. Garment Selection And Subjectivity For custom orders we purchase and supply the garments or products. We expect our customers to do the research on garments/products before placing an order with us. If a garment/product selection is sensitive, we strongly encourage ordering samples of the garments/item before placing an order. When the final order is received, we cannot guarantee that the customer will like the garments/products they chose. Subjectivity, or whether or not the customer likes the garment/item quality they chose is the responsibility of the customer and not Thrive Marketing. The customer is responsible for knowing the terms of the company whose garments or items they chose to purchase. While it is not always applicable in the promotional products industry, generally less expensive products and garments in are lesser quality than those that are more expensive. This relationship is not always applicable, but is worth noting. Thrive Marketing stands behind the quality of our decorating. We will reproduce your graphic onto the item or substrate with maximum accuracy, quality, and consistency. The satisfaction of the end user with the final printed product is subjective. We offer detailed mock ups and approval by the client is mandatory for every order. We operate under quality controls, standard operating procedures, and guidelines to ensure a quality finished product, we will not be held responsible for end user subjectivity. Image Placement We will do everything we can to ensure images are printed in a consistent location on all Items. However, small variations should be expected. For example, if a request is made for an image to be printed 2" below the bottom of a collar, a 3/4" standard deviation in either direction will be considered acceptable as will small ink coverage inconsistencies. Reorder Ink Color Thrive Marketing, LLC Terms of Service Due to the nature of water based and discharge ink and different fabric lots, we cannot guarantee exact ink color matches on reorders. We will make every effort to match the original color as best as possible. Minimums All our minimums are listed independently through our website ThrivePromotions.co or at ThrivePromos.com. Our minimum for screen printed apparel is 24 pieces. Cancelation Cancellations made after order has been placed via email, purchase order or verbally will be subject to a 10% restocking fee plus any additional fees required to cover services already rendered. No cancellations will be accepted once production or any manipulation of the garments such as tag removal, printed tags, printing, or any other alteration has begun on the order. Apparel Care Instructions In order to ensure image longevity and vibrancy, we recommend that you machine wash cold and tumble dry on low. You can take extra care by washing inside out and line drying. All goods should be washed before wearing. Since water based and discharge inks dye the fabric and are not plastic inks sitting on top of the shirt, we will not be responsible for fading or weathering of goods. Once a print leaves our facility, we are not in control of the elements a print will endure, such as wash temperature, abrasiveness, soaps and chemicals, etc. and therefore can not guarantee the wash down and weathering of the product. A very small amounts of washdown on ink colors should be expected with each additional wash since fabric will fade with additional washing. Receiving Your Order We encourage you to check the quantities and quality of the garments you receive from us immediately. Thrive Marketing cannot be held accountable for defects or problems with your order unless contacted within 72 hours of delivery. Manufacturer Garment Disclaimer Thrive is not responsible for manufacturer defects such as color inconsistencies, stitching errors, mislabeled garments, loose/inconsistent stitching, and/or garment defects such as holes in garments, ripped seams, etc. We are not the manufacturers of these garments, so we cannot ensure their quality. We highly recommend ordering 4% extra of each size if an exact count is important. Thrive Marketing, LLC Terms of Service Some manufacturers over-dye their garments. Over-dying is the process of re-dying a garment after the manufacturing period. This is done for any number of reasons, including color correction, clearing out of colors that didn't sell (navy shirts aren't selling so the manufacturer dyes them black to sell them as black shirts). Because of this factor, we cannot guarantee exact color consistency. Under-Runs & Spoilage Due to the nature of a printing business, Thrive will not be responsible for under-runs or spoilage up to 3% on jobs of 100 pieces per design, and up to 10% on jobs of less than 100 pieces. Spoilage must be more than 10 items per design for a reprint. Please keep this in mind when ordering, we suggest you order slightly more than you need. We always do our best to get you what you ordered. We will refund you the cost of certain items shorted from your order but will not process a reprint for less than 10% of your order or 10 shirts minimum. Claims & Reprints We go to great lengths to try to ensure that every order that leaves our facility is correct. All of our customers are valued customers, regardless of size, and we want you all to know that. All claims must be submitted within 72 hours of date of delivery. Please email [email protected] to submit your claim. We do not offer refunds, but will gladly reprint any production errors that exceed the spoilage rate. We will require that you ship the misprinted shirts back to our shop (we will provide you with a UPS label and will cover shipping costs). Thrive will not be responsible for any shirts sold or given away prior to returning the order. Shipping While we will attempt to get products to the customer on time, Thrive is not responsible for any shipping delays caused by the shipping company. Quotes Quotes expire in 30 days and are subject to change upon review of submitted artwork. Prices may be revised at the time of invoice based on actual prints or items. Intellectual Property Rights Thrive Marketing is committed to the appropriate and legal use of the intellectual property of others, and we require our users to behave similarly. You agree to not use Thrive Marketing’s Service to create any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable, or that infringes on any patent, trademark, trade secret, copyright or other proprietary rights of any third party. Indemnity Thrive Marketing, LLC Terms of Service You agree to defend, indemnify and hold Thrive Marketing, LLC and its affiliates harmless from and against any and all claims, damages, costs and expenses, including reasonable attorneys' fees, arising from or relating to your use of Thrive Marketing’s Website and the Service, your violation of this Agreement, or your violation of any rights of another. Severability If any part of this terms and agreement is declared unenforceable or invalid, the remainder will continue to be valid and enforceable. Governing Law This Agreement shall be governed by the laws of the State of New York and, where applicable, by federal law.
