PRITHVI HALDEA Honorary Advisor ASSOCIATION OF INVESTMENT BANKERS OF INDIA Dear Colleagues, MESSAGE FROM THE BOARD We welcome you to the Third Summit of the Association of Investment Bankers of India and appreciate your participation in the Summit. Amidst challenging macroeconomic scenario and difficult business environment, we thought it apt to use this forum to deliberate issues that have been on each of our minds. It is on this basis that we have chosen the theme of the Summit “Regaining Growth – Emerging Alternatives”. The focus of this Summit is entirely on fuelling the growth be it Primary Market, Debt Issuances or PE funding. Though the Sensex and Nifty have picked up quite well in the last couple of months, the Primary Capital Market has not changed much between our last Summit in December 2012 and now. Safety Net has been tried in just couple of IPOs with varied results. We see a lot of fear in the Issuers and Investment Bankers about the success of the IPOs. Retail investors continue to stay away from IPOs. Certain positive measures need to be taken to lift the sentiments. Our Association has been in continuous dialogue with SEBI to work out a suitable solution. Political uncertainties have played its part as far as the capital market is concerned. However, one definitely looks for a stable political administration. To give an insight as to how the Political challenges will impact our growth we have a highly respected political and business journalist, Mr. Sanjay Pugalia, Editor of CNBC Awaaz as the first speaker. We are thankful to Mr. V. Sundaresan for agreeing to give his valued Comments on the Theme of the Summit. A Summit of AIBI should have a flavour of Equity market and hence we have two sessions on Equity - one focussing on the new products in the equity market segment and the other on PE funding. SEBI has recently circulated a Discussion Paper on REITs and the Government has permitted Companies to list in foreign markets without getting listed in Indian bourses. In the First Technical Session, the Panel will deliberate on these. To get a balanced view on the new products and its implementation, the Panel consists of Indian and foreign lawyers, Indian and foreign Regulators. In today’s globalised world, consolidation of businesses will become the order of the day. To present insights on M&A Trends in Asia, we have a brief presentation by Mr. Phillip Lee of S&P Capital IQ, our Platinum Sponsor. Corporate Governance and Regulations play a very important role in any capital raising proposal. In the Second Technical Session, the Panel, consisting of leading PE players and Corporates, will deliberate on the impact of Corporate Governance and Regulations on a Private Equity player and Corporates and also on the expectations from each other. As we all know, equity alone cannot fund the growth of any company or economy and debt plays a vital role. However, when there is a low availability of capital and numerous borrowers the challenges faced by both by the lenders and the borrowers is enormous. To deliberate on the challenges we have our Third and last Technical Session. In this Panel we have included experienced people from lenders, Corporates and also facilitators. A strong Leader brings out the best from the team. But these Leadership qualities get tested the most when times are tough. Sometimes a Leader has to try even the untested traits. To know more about such untested Leadership qualities we have a Special Session by a talented duo Dr. Swati Lodha and Mr. Shashank Lodha, both successful in their individual professions as educationalist and Actor and also Authors and Motivational Gurus. Brief Profile of Chief Guest ASSOCIATION OF INVESTMENT BANKERS OF INDIA U.K. Sinha Chairman, Securities and Exchange Board of India Mr. U.K. Sinha was appointed as Chairman of Securities and Exchange Board of India with effect from February 18, 2011 Mr. Sinha, formerly from the Indian Administrative Service, brings with him rich experience in the financial markets for more than a decade. Mr. Sinha, has held several responsible positions with distinction in the State and Central Governments. He was Joint Secretary (Banking) and Joint Secretary (Capital Markets), Ministry of Finance, Government of India. He was also the Chairman of the Working Group on Foreign Investment in India formed by the Government of India. He was a member of several committees set up by the Government of India including the Committees on Liquidity Management, Foreign Institutional Investors, Corporate Bond Market and Investor Protection. Brief Profile of Speakers December 17, 2013 Ms. Chitra Ramkrishna Managing Director and Chief Executive Officer, National Stock Exchange Ms. Chitra Ramkrishna is the Managing Director and Chief Executive Officer of the National Stock Exchange, which is ranked the world’s second largest exchange in cash market trades and one of the top three exchanges in index and stock derivatives. Over the years she has earned her spurs as an institution builder, policy maker and as an evangelist. Ms. Chitra was part of a handpicked leadership team created in 1994 to set up the National Stock Exchange. In less than two decades, she has overcome strong headwinds from various quarters to create a world-class and completely transparent market institution. She is on several SEBI committees on different policy issues, including the secondary market advisory committee and the committee on disclosures and accounting standards. Ms. Chitra was also closely involved in drafting the legislative framework of SEBI, in the late eighties. She has also been actively engaged in many important committees of Industry bodies like CII’s National Council on financial sector development, FICCI’s National Executive committee and Capital markets committee, where she shares her thoughts on key issues of the sector and the economy. Ms. Chitra was selected as one of the top 10 women business leaders in India by Forbes in 2011 and 2013 and for four successive years, she has been featured in a list of top 30 women achievers by the Business Today group. Ms. Chitra is a chartered accountant from the UK-based chartered Institute of Management Accountants. She is the third woman CEO to head an Exchange in the Asia-Pacific region after Sri Lanka’s Colombo Stock Exchange and China’s Shenzhen Stock Exchange. V. S. Sundaresan, Chief General Manager, Securities and Exchange Board of India (SEBI),has been working with SEBI since July 1989. He is a graduate in Commerce with Post Graduate Diploma/s in Finance and Human Resources. He also holds a degree in law. He is also a Certificated Associate Member of Indian Institute of Bankers. He is presently heading the Corporation Finance Department enforcing regulations on public issues, takeovers, buyback, listing and delisting. Heads Deutsche Bank’s India Equity Capital Markets business where he is responsible for the origination, structuring, and execution of public equity and equity-linked transactions. Has over 20 years in the industry accounting for over 100 equity transactions. Prior to joining Deutsche Bank he was in the Investment Banking Division of Merrill Lynch in India where he was heading the Corporate Finance Group before heading its Equity Capital Markets business. He has been with UTI AMC since 1994 beginning his career as a ‘Research Analyst’ and then moving into the area of Fund Management. He serves on the Executive Investment Committee (EIC) and the Valuation Committee of UTI AMC Ltd. Amit Chandra Managing Director, Bain Capital Amit Chandra is Managing Director, Bain Capital, one of the oldest and leading global private investment firms, and founder of its Indian office. IIAS is a proxy advisory firm dedicated to providing participants in the Indian market with voting recommendations on shareholder resolutions and providing independent opinion, research and data on corporate governance issues. It was formed in 1990’s at the initiative of Indian Capital Markets regulatory body, SEBI. All Merchant Bankers, registered with SEBI are eligible to be members of AIBI. AIBI is India’s only association representing the investment banking industry. On January 21, 2012 the name of the Association was changed to “Association of Investment Bankers of India” to encompass all the activities carried out by the Investment Bankers other than Issue Management. Currently, there are fifty seven members of the association. AIBI-in a new direction: AIBI is now reinventing itself. AIBI strives to be an objective Industry body with a credible action plan. AIBI balances its role as an industry body with its role of an influencer so that there is never any conflict of interest for the members and ensure that its activities are not confined to selected few but are available and are beneficial to all members. AIBI is represented, through its Chairman, on SEBI’s Primary Market Advisory Committee, a forum that provides an opportunity to present the industry’s viewpoint on various issues.
