MESSAGE FROM THE BOARD
We welcome you to the Third Summit of the Association of Investment Bankers of India and appreciate your participation
in the Summit.
Amidst challenging macroeconomic scenario and difficult business environment, we thought it apt to use this forum to
deliberate issues that have been on each of our minds. It is on this basis that we have chosen the theme of the Summit
“Regaining Growth – Emerging Alternatives”. The focus of this Summit is entirely on fuelling the growth be it Primary
Market, Debt Issuances or PE funding.
Though the Sensex and Nifty have picked up quite well in the last couple of months, the Primary Capital Market has
not changed much between our last Summit in December 2012 and now. Safety Net has been tried in just couple of
IPOs with varied results. We see a lot of fear in the Issuers and Investment Bankers about the success of the IPOs.
Retail investors continue to stay away from IPOs. Certain positive measures need to be taken to lift the sentiments. Our
Association has been in continuous dialogue with SEBI to work out a suitable solution.
Political uncertainties have played its part as far as the capital market is concerned. However, one definitely looks for
a stable political administration. To give an insight as to how the Political challenges will impact our growth we have a
highly respected political and business journalist, Mr. Sanjay Pugalia, Editor of CNBC Awaaz as the first speaker.
We are thankful to Mr. V. Sundaresan for agreeing to give his valued Comments on the Theme of the Summit.
A Summit of AIBI should have a flavour of Equity market and hence we have two sessions on Equity - one focussing on
the new products in the equity market segment and the other on PE funding. SEBI has recently circulated a Discussion
Paper on REITs and the Government has permitted Companies to list in foreign markets without getting listed in Indian
bourses. In the First Technical Session, the Panel will deliberate on these. To get a balanced view on the new products
and its implementation, the Panel consists of Indian and foreign lawyers, Indian and foreign Regulators.
In today’s globalised world, consolidation of businesses will become the order of the day. To present insights on M&A
Trends in Asia, we have a brief presentation by Mr. Phillip Lee of S&P Capital IQ, our Platinum Sponsor.
Corporate Governance and Regulations play a very important role in any capital raising proposal. In the Second
Technical Session, the Panel, consisting of leading PE players and Corporates, will deliberate on the impact of Corporate
Governance and Regulations on a Private Equity player and Corporates and also on the expectations from each other.
As we all know, equity alone cannot fund the growth of any company or economy and debt plays a vital role. However,
when there is a low availability of capital and numerous borrowers the challenges faced by both by the lenders and the
borrowers is enormous. To deliberate on the challenges we have our Third and last Technical Session. In this Panel we
have included experienced people from lenders, Corporates and also facilitators.
A strong Leader brings out the best from the team. But these Leadership qualities get tested the most when times
are tough. Sometimes a Leader has to try even the untested traits. To know more about such untested Leadership
qualities we have a Special Session by a talented duo Dr. Swati Lodha and Mr. Shashank Lodha, both successful in
their individual professions as educationalist and Actor and also Authors and Motivational Gurus.
As a strong round up to the Summit we are grateful to Mr. U.K.Sinha, Chairman, SEBI for accepting our invitation to be
the Chief Guest and also deliver the Valedictory Address. We are also thankful to Ms. Chitra Ramkrishna, MD & CEO
of NSE for agreeing to give the opening Valedictory Address.

U.K. Sinha
Chairman, Securities and Exchange Board of India
Mr. U.K. Sinha was appointed as Chairman of Securities and Exchange Board of
India with effect from February 18, 2011
Mr. Sinha, formerly from the Indian Administrative Service, brings with him
rich experience in the financial markets for more than a decade. Mr. Sinha,
has held several responsible positions with distinction in the State and Central
Governments. He was Joint Secretary (Banking) and Joint Secretary (Capital
Markets), Ministry of Finance, Government of India. He was also the Chairman
of the Working Group on Foreign Investment in India formed by the Government
of India. He was a member of several committees set up by the Government of
India including the Committees on Liquidity Management, Foreign Institutional
Investors, Corporate Bond Market and Investor Protection. Prior to taking over as Chairman at SEBI, he was Chairman and Managing
Director of UTI Asset Management Company Limited and also Chairman of
Association of Mutual Fund in India. He has actively contributed to the financial
sector reforms in the country. He is also credited with starting the micro pension
movement in India.

Ms. Chitra Ramkrishna
Managing Director and Chief Executive Officer, National Stock Exchange
Ms. Chitra Ramkrishna is the Managing Director and Chief Executive Officer of the National
Stock Exchange, which is ranked the world’s second largest exchange in cash market trades
and one of the top three exchanges in index and stock derivatives.
Over the years she has earned her spurs as an institution builder, policy maker and as an
evangelist. Ms. Chitra was part of a handpicked leadership team created in 1994 to set up
the National Stock Exchange. In less than two decades, she has overcome strong headwinds
from various quarters to create a world-class and completely transparent market institution.
She is on several SEBI committees on different policy issues, including the secondary market advisory committee
and the committee on disclosures and accounting standards. Ms. Chitra was also closely involved in drafting the
legislative framework of SEBI, in the late eighties. She has also been actively engaged in many important committees
of Industry bodies like CII’s National Council on financial sector development, FICCI’s National Executive committee
and Capital markets committee, where she shares her thoughts on key issues of the sector and the economy.
Ms. Chitra was selected as one of the top 10 women business leaders in India by Forbes in 2011 and 2013 and
for four successive years, she has been featured in a list of top 30 women achievers by the Business Today group.
Ms. Chitra is a chartered accountant from the UK-based chartered Institute of Management Accountants. She is the
third woman CEO to head an Exchange in the Asia-Pacific region after Sri Lanka’s Colombo Stock Exchange and
China’s Shenzhen Stock Exchange.

Chief General Manager, Securities and Exchange Board of India (SEBI)
V. S. Sundaresan, Chief General Manager, Securities and Exchange Board of India (SEBI),has
been working with SEBI since July 1989.
He is a graduate in Commerce with Post Graduate Diploma/s in Finance and Human
Resources. He also holds a degree in law. He is also a Certificated Associate Member of
Indian Institute of Bankers.
He is presently heading the Corporation Finance Department enforcing regulations on public issues, takeovers,
buyback, listing and delisting.
His past assignments include formulation of policies for trading, clearing and settlement of transactions and risk
management in stock exchanges and Depositories, vetting of offer documents submitted by issuer-companies,
registration and supervision of stock brokers and sub brokers, and investigation of entities associated with securities
market.
Sundaresan has represented SEBI in various Committees. He has attended various training programmes and
workshops in India and abroad, as a speaker and participant.

Editor, CNBC Awaaz
Sanjay Pugalia, is the Editor of CNBC Awaaz. He is a journalist with 25 years of experience
across leading media organizations, both print and electronic. Prior to joining Network18,
he was the News Director at Star News, having helped Star TV make its successful foray
in the business of new dissemination in India. He also served as the Executive Editor of
Zee News and Deputy Executive Producer at AajTak when these channels were evolving
only to redefine Hindi TV journalism later on. His earlier experience also includes stints
with the Navbharat Times, the Business Standard and BBC Radio. He has covered both
political as well as corporate events with utmost ease.
He is a Graduate in Political Science & History.
Philip Lee
Global Head of Proprietary Data Services, S&P Capital IQ
Philip Lee is the Global Head of Proprietary Data Services at S&P Capital IQ, based in
Hong Kong. The Proprietary Data Services team actively manages client proprietary data
uploads and develops workflow solutions through Excel template creations and upload
feeds. Philip has a strong track record of executing Proprietary Data Service projects for
clients involving database transfers of financial and qualitative information. He also has
almost 10 years of Excel modeling experience with a focus on corporate finance and
credit models.
Philip joined S&P Capital IQ in 2008. Prior to that, he spent 4 years with Banc of America Securities, where he
was an Associate in the Technology and Media M&A group. He also spent a year with AGM Partners, focusing
on Media M&A advisory and private equity.
Philip holds a BS in Commerce, concentrating in Finance and International Business, from the University of
Virginia.

Sanjay Sharma, Chairman AIBI
Managing Director, Deutsche Equities India Pvt. Ltd.
Heads Deutsche Bank’s India Equity Capital Markets business where he is responsible for
the origination, structuring, and execution of public equity and equity-linked transactions.
Has over 20 years in the industry accounting for over 100 equity transactions.
Prior to joining Deutsche Bank he was in the Investment Banking Division of Merrill Lynch in
India where he was heading the Corporate Finance Group before heading its Equity Capital
Markets business. He has worked on equity, debt and advisory assignments including a 7 month stint in ML Asia
Pacific Hong Kong.
Sanjay has received his Post-graduate Diploma in Business Management from Indian Institute of Management,
Ahmedabad and a Bachelor of Engineering (Mechanical) from Regional Engineering College, Surathkal.
He has a good understanding of the Regulations and has worked towards bringing international best practices in
the Indian Capital Markets.
B. Madhuprasad, Vice Chairman AIBI
Chairman, Keynote Corporate Services Ltd.
A rank holding Chartered Accountant of November 1974 Batch, served in BHEL for a period
of one & half years; joined Punjab National Bank in December 1976 as a Financial Analyst
and worked for 17 years in various capacities and has been in Merchant Banking at Mumbai
since 1984. In 1993, joined Keynote Corporate Services Limited, one of the Leading Category
- I Merchant Bankers, presently having a permanent registration as Category I with SEBI.
As Chairman, the major responsibility is of coordination with various agencies including the stock exchanges and
SEBI, providing guidance to the Investment Banking team, the Corporate Finance team and guiding the overall
operations of Keynote including the Broking outfit. Has handled over 500 IPOs and Rights Issues. After the
introduction of Buy Back Regulations and also amendment of Takeover Regulations,, have handled many issues.
Presently the “Vice Chairman” of Association of Investment Bankers of India (AIBI).

Amandeep Singh Chopra
Head of Fixed Income & Group President, UTI AMC
Amandeep Singh Chopra is the Head of Fixed Income & Group President. He has been
with UTI AMC since 1994 beginning his career as a ‘Research Analyst’ and then moving
into the area of Fund Management.
He serves on the Executive Investment Committee (EIC) and the Valuation Committee
of UTI AMC Ltd. He is also a member of the Valuation Committee of the Association of
Mutual Funds in India (AMFI) and a member of the Corporate Bonds and Securitization
Advisory Committee (CoBoSAC) of SEBI which advises SEBI on issues related to further developments of
these markets.
He has won awards from CNBC-TV18 CRISIL; NDTV-ICRA ONLINE and LIPPER for several of his funds
including the “BEST DEBT FUND HOUSE” of the year 2008 awarded by NDTV PROFIT and OUTLOOK
MONEY. He has also been awarded at the hands of the Prime Minister “The Best Debt Fund Manager of

Amit Chandra
Managing Director, Bain Capital
Amit Chandra is Managing Director, Bain Capital, one of the oldest and leading global
private investment firms, and founder of its Indian office. He has previously spent over
13 years at DSP Merrill Lynch, a leading investment bank in India, from where he retired
in 2007 as its Board Member & Managing Director. Amit started his professional career
as an engineer at India’s leading engineering & construction firm,Larsen&Toubro.
Amit is also a Member of the Board of Directors of Genpact, Tata Investment Corporation, Piramal Enterprises,
and a Member of CII National Committee on Private Equity and Venture Capital. He is very active in India’s notfor- profit space and serves as a Trustee/Board Member of The Akanksha Foundation (providing education to
less privileged children) and GiveIndia (India’s leading philanthropic exchange).
Amit received his MBA from Boston College and was awarded the school’s Distinguished Alumni in 2007. He
received his undergraduate degree in Electrical Engineering from VJTI, Bombay University. He was named

Amit Tandon

Amit Tandon (b. 1960), is the managing director of Institutional Investor Advisory Services
India Limited (IIAS). IIAS is a proxy advisory firm dedicated to providing participants in
the Indian market with voting recommendations on shareholder resolutions and providing
independent opinion, research and data on corporate governance issues. (iias.in)
IIAS has been set up in equity participation with Axis Bank, BSE Limited, Fitch Group
Inc., HDFC, ICICI Prudential Life Insurance and Tata Investment Corporation.
IIAS provides voting recommendations on AGM’s/EGM’s/court convened meetings for over 300 companies.
Before joining IiAS, Amit was the managing director and CEO of Fitch Ratings, India between Oct 2001 and
June 2011. In addition to India, Amit had oversight of Fitch Ratings’ Sri Lankan operations.
Prior to joining Fitch, Amit was with the ICICI group for 17 years. He joined ICICI in 1984, as an operations

During his tenure of 20 years with ICICI Group he has held many key positions in the field of

is a Co-chairman of Federation of Indian Chambers of Commerce & Industry (FICCI), Capital
Markets Committee. Mr. Bagchi is an alumnus of IIT Kanpur and IIM Bangalore.

D R Dogra is Managing Director and CEO of CARE Ratings, which is the second largest
credit rating agency in India in terms of rating income. He has over 35 years of experience in
the financial sector in the areas of banking and credit rating. Under his leadership CARE has
acquired Kalypto Risk Technologies, opened its first global office in the Republic of Maldives,
forged ties with other global rating agencies to create a global rating agency, ARC Ratings
and has been listed on the bourses.
He holds the position of Director, Chairman of Membership Committee and Member of Training
Committee at Association of Credit Rating Agencies in Asia (ACRAA), Manila, Philippines. He is also Director on

J. M. TRIVEDI is Partner of Actis Capital LLP UK and also head of South Asia region
of Actis. Actis is a leading private equity investor in emerging markets and has raised
US$7.6 billion of funds to date. Recently, on 1st December 2008 Actis closed its latest
US$2.9 billion private equity fund, Actis Emerging Markets 3 (AEM3), exceeding its target
of US$2.5 billion. This is one of the largest dedicated emerging markets private equity
funds closed this year and doubles the amount raised by Actis in 2004. Actis was formed
in 2004 when partners and employees of the erstwhile CDC Capital Partners(U.K.) formed Actis and acquired
majority ownership in this entity from government of U.K. UK government continues to own 40% ownership
in Actis.
J M Trivedi joined CDC Capital Partners in 1997, prior to the creation of Actis in 2004, and was responsible
for setting up the Mumbai office. He has been instrumental in establishing Actis as one of the top three private
equity investors in India. He has led a number of successful private equity deals in India, most notably UTI
Bank (now Axis Bank), Glenmark Pharmaceuticals, Sterling Hospital, Paras Pharmaceuticals. He is a member

Prior to joining Actis, he was senior vice president at Gujarat Venture Finance Ltd. (GVFL). He joined GVFL
in its formative stage and helped it raise its first three Funds. His professional career spanning more than 32
years in the finance industry includes 17 years of VC/PE experience and 12 years in development banking at
Gujarat Industrial Investment Corporation from 1979 to 1990.

activities of the clearing corporation in a supervisory capacity especially in the areas of

Prithvi Haldea
Chairman & Managing Director, PRIME Database
Prithvi Haldea did his MBA from BITS, Pilani in 1971. He thereafter worked in the
corporate sector including with The World Bank. In 1989, Mr. Haldea set up PRIME
Database, the country’s first and still the only database on the primary capital market. It
has a large subscriber base, and is widely reported by the media. Mr. Haldea is a visiting
faculty at several institutions and has presented over 300 papers at various conferences
in India and aboard.
Mr. Haldea has recently been appointed as a member of the Central Government’s Standing Council of Experts
for the Financial Sector. He is a member of SEBI Primary Market Advisory Committee, Board of Governors of

Rajiv Gupta is a partner in the Corporate Department of the Singapore office of Latham

About AIBI
ASSOCIATION OF INVESTMENT BANKERS OF INDIA
AIBI is a voluntary association of Investment Bankers in the country. It was formed in 1990’s at the initiative
of Indian Capital Markets regulatory body, SEBI. All Merchant Bankers, registered with SEBI are eligible to be
members of AIBI. AIBI is India’s only association representing the investment banking industry.
On January 21, 2012 the name of the Association was changed to “Association of Investment Bankers of
India” to encompass all the activities carried out by the Investment Bankers other than Issue Management.
Currently, there are fifty seven members of the association.
AIBI-in a new direction:
AIBI is now reinventing itself. AIBI strives to be an objective Industry body with a credible action plan. AIBI
balances its role as an industry body with its role of an influencer so that there is never any conflict of interest
for the members and ensure that its activities are not confined to selected few but are available and are
beneficial to all members.
AIBI is represented, through its Chairman, on SEBI’s Primary Market Advisory Committee, a forum that
provides an opportunity to present the industry’s viewpoint on various issues. In the last one year AIBI has
made significant strides in enhancing its capabilities. We have been working closely with SEBI in the recent
times in improving the efficiencies of the Indian Capital Markets.
