 PROGRAMME MAP INTRODUCTORY | SECURITIES LAW UNIT ONE Introduction This Unit serves as an introduction to securities laws in India. We shall begin with a quick look at the subject of securities law, that is, securities and the securities market. We shall then look at the scope of securities law. A brief look at the regulatory framework in place should help us get a sense of the key components of securities law. The above also helps us in understanding the structure of this Programme. UNIT TWO Important Definitions and Concepts In this Unit, we will familiarise ourselves with some of the more common terms and concepts specific to securities law. We will also better understand the structure of the securities market, the manner in which companies use it to raise funds and the constituent entities of the system. UNIT THREE Capital Market Instruments In this Unit, we will look into how the legal framework defines ‘securities’ and what the established scope of that term is. We will learn to identify and distinguish the various instruments around which the capital markets revolve. This would also involve looking into how these instruments allow their holders to interact with the issuing company. UNIT FOUR Securities Exchange Board of India (“SEBI”) In this Unit, we will study the primary regulator in relation to the securities market: the SEBI. We shall learn about its formation, structure, duties, powers, and functions. We shall also get a brief idea of the legal framework that the SEBI has put in place to regulate the securities market. UNIT FIVE Understanding Primary Markets In this Unit, we will learn what statutes and regulations come into play when a company undertakes an IPO. We shall also learn to identify the various players involved in the IPO process and their roles. We shall then look at the broad process followed when a company goes for an IPO. UNIT SIX Understanding Secondary Markets In this Unit, we will begin our study of secondary markets. We shall look at the regulatory framework governing secondary markets and the various intermediaries involved in secondary market transactions. UNIT SEVEN Understanding Stock Exchanges In this Unit we will learn in detail about the role played by stock exchanges in the securities market and the regulations governing their setting up and operation. UNIT EIGHT Understanding Debt Securities and Debt Markets The debt securities market in India is divided into three categories—the government securities market, the corporate bond market, and the securitised debt market. We will look at each of these markets in this Unit.
