PROVINCE OF BRITISH COLUMBIA FORM 3 (Section 32 SOCIETY ACT CONSTITUTION 1 The name of the society is the KOOTENAY LAND TRUST SOCIETY 2 The purposes of the society are as follows (1) to preserve, protect, restore, and/or enhance natural environment as a vital part of human habitat for biological, ecological, psychological, recreational, spiritual and/or aesthetic purposes, with the intent of benefiting the community as a whole including, but not limiting the generality of the foregoing: (a) to preserve, protect, monitor, conserve, establish, restore, rehabilitate, and enhance: (i) natural and/or wilderness areas, (ii) environmentally sensitive or significant areas of forest, wetland, watershed, and/or riparian habitat; (iii) wildlife and wildlife habitat; (iv) unusual or otherwise significant plant or wildlife species or habitat, (v) green and/or open spaces; (b) to assist, aid, or undertake stewardship of natural areas with a view towards their preservation or restoration; (2) for the attainment of the aforementioned objectives, to acquire, accept, solicit or receive by purchase, lease, contract, donation legacy, gift, grant, bequest, or otherwise any kind of real or personal property or interest therein; and (3) without limiting the generality of subsection (7) above, to hold, monitor, manage and enforce conservation covenants or similar interests on private and/or other property 3 The purpose of the Society shall be carried out without purpose of gain for its members and any income, profit or other accretion to the Society shall be used for promoting the purposes of the Society: 4 Upon the winding-up or dissolution of the Society, any funds and property of the Society remaining after the satisfaction of its debts, liabilities, and any costs properly incurred in such winding up or dissolution, shall be given or transferred to such organization or organizations having objectives similar to the Society’s purposes; or in the case of property originally received for a specific purpose, similar to that purpose; as may be determined by the members of the Society at the time of winding-up or dissolution, and, if, and so far as. effect cannot be given to the aforesaid provisions then such funds shall be given or transferred to some other organization or organizations, provided however that any such organization shall be a charitable organization, charitable corporation or charitable trust or other qualified donee recognized by the Department of National Revenue of Canada under the provisions of the Income Tax Act of Canada or its successor legislation from time to time in effect 5 Paragraphs 3, 4 and 5 of the Constitution are unalterable in accordance with the Society Act:
