Americans are online, and they've got mail. And lots of promotional CD−ROMs to boot. America Online, the Internet
division of Time Warner (previously AOL Time Warner), is the world's largest Internet access provider with some 25
million subscribers using its service. The AOL proprietary network offers content, communication tools, and online
shopping, among other services. It also owns Compuserve Interactive Services and has operations in foreign countries.
The subsidiary is struggling in the wake of an industry−wide downturn. Under the leadership of CEO Jon Miller America
Online is restructuring by cutting costs and emphasizing its "bring your own access" subscription−only content.

Jonathan F. Miller, Chairman and Chief Executive Officer of America Online, Inc., is responsible for all of America
Online's online businesses and services, including the flagship AOL service. He has a direct role in overseeing key units
including the AOL Brand, Interactive Marketing and AOL Broadband. Having served most recently as President and
Chief Executive Officer of USA Information and Services (USAIS), Miller's background includes extensive management
experience in the areas of interactive services, media, entertainment, and associated enabling technologies. When Miller
left USAIS in June 2002, the 15,000−employee unit he led had earned $3 billion in revenues. It included such businesses
as Ticketmaster and Ticketmaster.com, Citysearch and Match.com teleservices, USA Electronic Commerce Solutions and
the USA Travel Group −− HRN, USA Travel Channel, and Expedia.com. Prior to beginning his role with USAIS in June
2000, Miller served as President and Chief Executive Officer of USA Electronic Commerce Solutions since October
1999. Previously, he served as President and Chief Executive Officer of USA Broadcasting. Before joining USA
Broadcasting in July 1997, Miller served as the Managing Director of Nickelodeon International. He joined Nickelodeon
as the Chief Executive Officer/Managing Director of Nick UK in 1993. He also served as Chief Executive of Paramount's
first branded international channel, launching the Paramount Comedy Channel in London, UK. Prior to working at
Nickelodeon, Miller was Vice President of Programming and NBA Entertainment at the National Basketball Association
in New York. During his five−year tenure there, Miller expanded the NBA's TV production and the business functions of
its television assets, as well as its overall brand image.

Ted Leonsis is Vice Chairman of America Online, Inc. responsible for strategy development for the AOL division and is
part of the Office of the Chairman. He is also President, AOL Core Service, where he is responsible for all business and
creative functions of the AOL brand and service as well as overall satisfaction for AOL's 35−million member base.
Considered a founding father of the new media industry, Leonsis is one of the foremost leaders and visionaries of the
Internet and new media and is AOL's longest tenured senior executive. Previously, as President, AOL Interactive

Properties Group, Leonsis was responsible for AOL's local Web−based properties and portals; the company's interactive
music and ticketing initiatives, and strategic development in key areas such as the AOL voice services platform. The AOL
Interactive Properties Group also managed several AOL brands including Digital City, ICQ, AOL Instant Messenger,
AOL Moviefone, MapQuest, Spinner Networks, Inc., and WinAmp. Leonsis has long led AOL's efforts in content
development and was responsible for AOL's role or original investments in dozens of leading online entities. In his first
three years with the company (1994−1997), he served as President of AOL Services Company in charge of all sales,
marketing, product development, production, programming, and business development for the AOL brand and core
service. Leonsis is credited with originally positioning AOL as a media company, inventing the channel programming
model, initiating the company's efforts in e−commerce, ad sales, community−based programming, television brand
advertising, and dramatically increasing its direct marketing and content development. During his original three−year
tenure leading the AOL brand, AOL grew from fewer than 800,000 members to 8 million members and from less than
$100 million in revenue to $1.5 billion in revenue. Prior to joining AOL, Leonsis was founder and CEO of Redgate
Communications Corporation. A venture−backed firm, Redgate was considered the first new−media marketing company
and had positions in database marketing, CD−ROM−based shopping, private satellite networks, online services, custom
publishing, and new media consulting. AOL acquired Redgate in late 1993. Leonsis also worked with Apple Computer
Company on the introduction of the Macintosh, with IBM on the PC launch, and with Wang on office automation. He has
written four books on the personal computer industry including "Blue Magic.The People, Power and Politics behind the
IBM PC." Leonsis founded four personal computer magazines that were acquired by International Thomson and IDG
Publications, respectively. He also co−invented a board game called "Only in New York." Leonsis is a philanthropist and
owner of sports teams. He is majority owner of the National Hockey League (NHL) Washington Capitals and holds a
minority share in and future rights to purchase the National Basketball Association (NBA) Washington Wizards, the
WNBA Washington Mystics, the MCI Center in Washington, the USAir Arena in Landover, Maryland, and the
Washington/Baltimore Ticketmaster franchise. Leonsis is also credited with recruiting Jaromir Jagr to the Washington
Capitals and Michael Jordon to the Washington Wizards. Among his many business honors, Leonsis was named one of
the "200 Global Leaders of Tomorrow" by the World Economic Forum; one of the "Top 100 Marketing Executives" by
Ad Age, and one of the "Top 12 Entrepreneurs" by Inc. Magazine Entrepreneurs Program. Leonsis served for five years as
Mayor of Orchid, Florida. He sits on the boards of several charities including Best Buddies and the Leonsis Family
Foundation. A graduate of Georgetown University, Leonsis is now a member of the Georgetown Board of Directors. He
has received honorary degrees from Emerson College, Lasalle College, and the University of Massachusetts.

Biography
As Vice Chairman of America Online, Inc., Joseph A. Ripp oversees AOL's advertising revenue, technology
development, network operations, strategic planning and financial functions including accounting, tax issues, financial
planning, and treasury. He also is responsible for investor relations, human resources, building services, and legal. Before
he was named Vice Chairman, Ripp had been Executive Vice President and Chief Financial Officer of AOL Inc. From
1999 to 2001, Ripp served Time Warner as Executive Vice President and Chief Financial Officer. Before that, he held the
same post with Time Inc. and earlier served the company as Senior Vice President, Chief Financial Officer, and Treasurer.
Before that, Ripp was Vice President and Director of Finance for the Time Inc. Magazine Co. He joined Time Inc. in 1985
as Assistant Controller from accounting firm Ernst & Whinney. There he worked on the Time Inc. account beginning in
1975. Ripp is on the Board of Trustees of Manhattan College and on the Finance Committee of A Better Chance. He
serves on the Board of Directors and the Executive Committee of the Ad Council and is Chairman of its Finance
Committee. In addition, Ripp is a member of the Advertising Educational Foundation serving as Chair of the Finance
Committee. He graduated from Manhattan College, Riverdale, NY, in 1973 with a bachelor of arts degree and earned a

Biography
As President of AOL Broadband, Lisa A. Hook spearheads initiatives to make AOL Broadband an essential part of
members' online experience. AOL Broadband focuses on the development of AOL products and features distributed over
broadband and works closely with AOL partners to bring a host of next−generation services to consumers' homes. In
addition, Hook leads the Premium Services organization, which develops, scales, and launches new premium services
such as the AOL(R) Call Alert service introduced with AOL 8.0. Working in tandem with AOL's Marketing organization,
the Premium Services group works across AOL to define and quickly deploy services that bring even greater value to
members' online experience. Hook's responsibilities also include oversight of AOL's Advanced Services initiative that is
charged with developing the next−generation platform strategy needed to launch new technologies in a scalable manner,
including concerns such as transactions and authentication. Formerly, Hook served as President of AOL Anywhere. In this
role, she directed strategy and oversaw daily operations for the company's fast−growing Anywhere division and its mobile
and voice services and non−PC devices. She also was responsible for new initiatives and partnerships to bring AOL's
hallmark convenience and ease−of−use to online consumers beyond the PC worldwide. A widely respected veteran of the
telecommunications and media business, Hook joined AOL in 2000 as Senior Vice President of AOL Mobile and served
as Senior Vice President and Chief Operating Officer of that division before she was named President of AOL Anywhere.
Prior to joining the company, Hook was a partner at Brera Capital Partners LLC, a private equity firm focused on
investing in media and telecommunications. Hook also has served as Executive Vice President and Chief Operating
Officer of Time Warner Telecommunications and later was Vice President of Time Warner, Inc. managing various
telecom−related transactions and operating matters. At Time Warner, she established the company's cellular and paging
resale business and built its first successful retail outlets for cellular, paging, and cable services. Hook initially joined
Time Warner in 1989 as Special Advisor to the Vice Chairman of Time Warner Inc. In this position, she developed and

oversaw international joint ventures including the acquisition of cable systems and the launch of theatre and cable services
in Europe. Earlier in her career, Hook served as Legal Advisor to the Federal Communications Commission Chairman.
Before that, she served as Senior Attorney at Viacom International Inc., where she oversaw the legal department of
Viacom's cable division. Hook was also an associate with the law firm of Hogan & Hartson in Washington. Hook is a
director of Time Warner Telecom (NASDAQ: TWTC) and a member of the Board of Trustees of the National Public
Radio Foundation. She is a graduate of Duke University and the Dickinson School of Law.

Biography
Michael Kelly is Chairman and Chief Executive Officer of AOL International and Web Services. In this position, he is
responsible for AOL's international operations in Europe, Asia, and Latin America; building strong new businesses on the
company's growing wireless and voice platforms; and for managing the portfolio of leading Web brands including
Netscape, CompuServe, MapQuest, Moviefone, ICQ, and AIM. Formerly, he was Chief Operating Officer of America
Online Inc. responsible for managing the day−to−day operations of the company. He also worked with other AOL Time
Warner divisions to leverage AOL brands across platforms. Before he was appointed Chief Operating Officer in
November 2001, Kelly was Executive Vice President and Chief Financial Officer of AOL Time Warner. In that role, he
oversaw the completion of AOL's merger with Time Warner and helped spearhead the successful integration of the two
companies while managing the combined company's corporate finance functions including tax and accounting issues,
financial planning, investor relations, and treasury. Kelly joined AOL in 1998 as Senior Vice President and Chief
Financial Officer overseeing the company's financial management during a period of rapid membership and financial
growth, along with the acquisition of Netscape and other major strategic initiatives. Prior to his arrival at AOL, Kelly was
Executive Vice President, Finance and Planning, and Chief Financial Officer for telecommunications company GTE.
During his tenure with GTE, he also served as Senior Vice President, Finance; Vice President and Controller, and Vice
President, Finance and Business Development, for the company's Telecommunications Products and Services Group,
which included its cellular business, federal systems operations, Airfone, and the Spacenet satellite unit. Beginning in
1987, Kelly worked for Contel Corp., which merged with GTE in 1991. At the time of the merger, Kelly was Contel's
Vice President and Controller. Kelly is a Certified Public Accountant and a graduate of Gettysburg College with a
bachelor of arts in business administration. He serves on the Board of Directors of INOVA Health Systems and the Board
of Trustees of Gettysburg College.

Biography
As Chief Marketing Officer for America Online, Inc., Joe Redling is responsible for overall brand management and
marketing, both domestic and international, for the AOL family of brands including the AOL flagship service, Netscape,
CompuServe, AOL Instant Messenger, Moviefone, and MapQuest. He oversees the functions of brand marketing,
membership acquisition and retention, and marketing research and development. He also oversees AOL's unique Member
Services organization of more than 10,000 consultants dedicated to serving AOL's vast membership needs. AOL
Marketing supports the various business segments within AOL Inc.: the AOL flagship service, AOL Broadband, AOL
International, AOL Web businesses, AOL Wireless, and AOL Premium Services. Prior to leading AOL's global marketing
efforts, Redling served as President of Brand Marketing and was responsible for overall brand management, marketing
planning, advertising, and promotional strategy across all AOL Inc. brands and products. Redling joined the company in
1999 as Senior Vice President, Marketing, for AOL's flagship service with oversight for all marketing and promotions for
the AOL service and AOL.com, the world's most accessed Web site from home. He also managed AOL's online
advertising and promotional efforts and initiatives for AOL member communication and education. In this position, he
played a key role in promoting the convenient and easy−to−use service as it experienced rapid membership growth.
Before joining AOL, Redling served as Chief Operating and Marketing Officer for Arnold Palmer Golf, an
entrepreneurial venture that established the first nationally branded chain of golf courses. Redling spent 15 years in the
entertainment and tourism industry in senior positions in marketing, entertainment, and event functions. He served as
Senior Vice President, Marketing and Entertainment, Six Flags Theme Parks, Inc., a Time Warner company, where he
reported to the CEO of Time Warner Enterprises. During his tenure with Six Flags, he also held positions as Corporate
Vice President of Marketing, Corporate Director of Marketing, Corporate Manager of Marketing, and Manager of
Promotions and Sponsorship Sales. While working in the tourism business, Redling served in a number of leadership
positions including Co−Chair of the Marketing Committee for the White House Conference on Tourism and Chair of the
National Council of Travel Attractions. Redling earned a bachelor of science degree in business management at Saint
Peter's College, Jersey City, N.J.

Biography
McKinley was previously Executive Vice President and Head of Global Technology & Services for Merrill Lynch, where
he was responsible for the technology and operations organization consisting of 14,000 employees. While at Merrill
Lynch, McKinley directed the planning and launch of Merrill's online trading offerings (ML Direct and Merrill Lynch
Online), which were awarded best−in−class ratings from SmartMoney and Gomez. Prior to joining Merrill Lynch in 1998,
McKinley was Senior Vice President and Chief Technology and Information Officer for GE Capital Corporation, where
he managed the technology organization of 3,600 employees supporting GE's Six Sigma and e−commerce efforts. Before
that position, McKinley was a partner with Ernst & Young LLP until 1995. McKinley graduated from the Wharton School
at the University of Pennsylvania.

Biography
As Executive Vice President and Chief Financial Officer of AOL, Inc., Stephen Swad oversees financial planning,
analysis, and reporting as well as tax planning and compliance. He works closely with the senior management team at
AOL establishing the company's financial objectives and strategies. Swad joined AOL from Turner Broadcasting System
Inc.'s Turner Entertainment Group where he was Executive Vice President of Finance and Administration. Turner

Martin R. Fisher is President of America Online Inc. Advanced Services. He is responsible for looking beyond AOL's
current product cycle to determine the right technology platforms for the company's next−generation services. Before he
was named to his current post, he was President of Technology Development for AOL. In this position, he oversaw the
development of software and systems across all AOL, Inc. platforms including the development of Netscape's browser.
Fisher managed a team of more than 2,500 employees who developed AOL, CompuServe, and Netscape branded products
and software for AOL members worldwide. Prior to leading the Technology Development organization, Fisher was Senior
Vice President and General Manager of Client and Systems Development leading the software teams that built the
company's popular 5.0, 6.0, and 7.0 versions of AOL software. Before joining AOL in 1995, Fisher was Vice President of
Engineering for Medior, Inc., a privately held company based in San Mateo, California. Medior was recognized as a
leading developer of interactive media properties covering a broad range of applications including entertainment,
publishing, education, and electronic commerce. Medior has generated a track record of more than 150 successful
products, dozens of industry awards, and a number of proprietary technologies. Medior was the second company to be
acquired by America Online. Between 1985 and 1992 when he joined Medior, Fisher was actively involved with multiple
start−up companies in Pennsylvania and California. Between 1985 and 1989, Fisher was Vice President of Research &
Development at Cricket Software where he was responsible for product strategy, budget, acquisition, human resources,
and operations, as well as for the creation of the R&D division. Following his position with Cricket, Fisher worked for
Software Publishing Corporation and RAD Technologies, both based in Mountain View, California. At Software
Publishing Corporation, Fisher was responsible for multiple projects on Microsoft Windows and Macintosh platforms
overseeing design, scheduling, and quality of products while managing project resources to ensure a successful market
delivery. At RAD Technologies, Fisher was Founder and Vice President of Research & Development responsible for
engineering, quality, marketing, and operations of workstation desktop products targeted to the client/server multimedia
presentation market, and was responsible for securing funding to grow the company. Fisher began his career at the
National Security Agency as a Senior Systems Programmer in Fort Meade, Maryland. After working at NSA, Fisher held

information provider. During his 25 years in HR, Mr. Miyamoto has led successful efforts in core HR functions such as

diversity. He has worked in a number of industries, including legal and financial information; computing systems;
manufacturing; telecommunications; consumer products and petrochemicals. Additionally, he has global business

while at LexisNexis were to facilitate the restructuring of the organization into a global enterprise; hire and promote top

William J. Wahl, Jr. is Executive Vice President of Internal Computing for AOL Time Warner and America Online
overseeing the worldwide networks and support services that support the day−to−day operations of AOL Time Warner,
AOL, and the various AOL brands. Wahl joined AOL in March 1999 and led the Member Services technology and
planning organization before assuming responsibilities for Internal Computing as Senior Vice President and General
Manager. He was named Executive Vice President in 2002. He spent more than three decades at IBM where he held a
range of executive positions including Group Director of Manufacturing and Development Information Systems, Chief
Information Officer of the Personal Systems Group, and Director of Worldwide Fulfillment Systems Technology. In these
positions, he became well known for leading the establishment of consolidated, regional shared IT services in support of
IBM's worldwide Manufacturing and Product Development organizations. He is a member of Beta Gamma Sigma and

Neil Smit, Executive Vice President, Member Services, is responsible for America Online's 24−hour−a−day,
seven−day−a−week call centers that contribute to the company's high level of satisfaction. He leads the large organization
that handles AOL members' requests for information about every aspect of AOL and the AOL brands. His worldwide
team of representatives field general and technical questions about billing, product capability, technical assistance, and
online safety. Member Services is one of the most respected customer−service organizations in any industry. Before he
was named to his current position in 2002, Smit was Senior Vice President of AOL's Interactive Marketing Group. He
managed programming, promotion, and market development for AOL categories including Auto, Computing, Consumer
Electronics, Consumer Packaged Goods, Local, and Small Business. He drove many of these businesses to become
leaders in their categories through innovative programs such as Car Care Center, Complete Buying Guides, and AOL
Weekender. In this position, he delivered solutions for members and partners across the AOL family of brands. Smit also
has served as Chief Operating Officer of AOL Local, managing all aspects of programming and technology for the Local
group, which comprises DigitalCity, MapQuest, and Moviefone. He was also Chief Operating Officer of MapQuest,
managing its three business areas: the Internet site, its B2B business, and its offline digital mapping business. Before
joining AOL in January 2000, Smit spent 10 years in the consumer packaged−goods industry. He was an international
executive with Nabisco where he was responsible for 75 leading brands and a staff of 4,000, and also held management
positions with Pillsbury. Smit began his career as a Navy SEAL and rose to the rank of Lieutenant Commander. He
earned a bachelor of science from Duke University and a master's degree in international business from the Fletcher
School of Law and Diplomacy at Tufts University in Medford, MA.

Steven McArthur is Executive Vice President, Messaging, for America Online. In this role, he focuses on product and
business development for AOL's instant−messaging businesses AOL Instant Messenger and ICQ as well as messaging for
desktop, mobile, and enterprise applications. Before he was named to his current position in 2003, McArthur was
President and CEO of AOL Canada, a strategic alliance between AOL and Royal Bank, Canada's premier global financial
services group. He was responsible for AOL Canada's overall strategic direction and management. During his tenure, he
expanded consumer reach and developed the company's Canadian business focus. He joined AOL Canada in 2000.
Previously, McArthur served as President of the Consumer Foods division of Canada's largest food processor, Maple Leaf

Matt Korn

Biography
Matt Korn is Executive Vice President, Network and Data Center Operations, America Online, Inc., with responsibility
for the operation of the network and systems that support AOL's interactive media products. Korn joined AOL in 1993
and has led the scaling of the AOL service operations from 2,000 concurrent users to more than 2.5 million concurrent
users. He oversees a staff of approximately 1,000 network engineers and programmers worldwide who manage the data
centers, systems, and network operations underlying AOL, CompuServe, AIM, ICQ, AOL.com, Netcenter, MapQuest,
and Spinner services as well as many of the AOL Time Warner properties such as Time.com, Fortune.com, and the many
Warner Bros. Web sites. He began his career at the IBM Thomas J. Watson Research Center as a programmer and was
awarded an IBM Resident Study Fellowship in 1982 to pursue graduate education at the University of
Wisconsin−Madison. Aside from his dissertation research in 3−D computer vision, Korn also became heavily involved in
the development of early Internet e−mail systems. Korn returned to the IBM Research Division in 1987 and held a variety
of management positions in which he was responsible for the development and operations of NSFnet, which was the
major U.S. Internet backbone. In 1992, he was elected to the Board of Trustees of CREN, the not−for−profit Corporation
for Research and Educational Networking, which runs the national BITNET network. Korn attended the Bronx High
School of Science. He earned a bachelor of arts in computer science at Yale University in 1980 and a master of science in
computer science at the University of Wisconsin in 1984. Korn serves on the board of directors of the Greater Reston
(Virginia) Chamber of Commerce.

Malcolm Bird is an Emmy(R) award−winning children's media expert with more than 15 years of experience as a TV and
radio producer and a programmer of children's content. Mr. Bird played key roles in three major network launches −−
Nickelodeon UK, TeleMonticarlo in Italy and Miami USA network for Barry Diller's USA Broadcasting. Most recently
he was a producer of the hit series Operation Junkyard for Discovery Kids. He was an Executive Vice President for
Production and Development for Craftsman Productions and worked on a variety of hit series, including "It's My Life" for
USA Broadcasting among many other projects. Prior to his work with Craftsman Productions, Mr. Bird was Executive
Producer and Head of Kids Programming for Miami USA Broadcasting, where he produced 20 hours of live
programming per week for the network's most popular show, "Wami on Miami," which won two Emmy awards. He also
served as Creative Director/Director of International Programming and Production for Cartoon Network Productions.

Tatiana S. Gau is Chief Trust Officer and Senior Vice President at America Online, Inc. providing strategic leadership for

Previously, Mr. Nenni served as the Vice President of Programming at XACT Radio Network, a leader in digital
marketing specializing in Internet radio and interactive media, where he oversaw the creation of over 85 online stations.
Prior to his tenure with XACT Radio Network, Mr. Nenni held various positions at stations within the Infinity
Broadcasting Corporation. He served as Operations Manager at Live 105, San Francisco's famed Alternative Rock station,
and Executive Producer of Live 105.com, the station's website which ultimately attracted 3.5 million page views per
month. Previously, at award−winning Album−oriented Rock station KOME−FM in San Jose, Mr. Nenni was promoted
from Program Director to Operations Manager when the station switched to Alternative Rock. Under his direction, the
station achieved the highest ratings in its history. Mr. Nenni was also responsible for orchestrating the market debut of the
Howard Stern Show in 1993 and hiring Carson Daly − the now−popular MTV VJ − in 1995, which drove the station's

Overview
Americans are online, and they've got mail. And lots of promotional CD−ROMs to boot. America Online, the Internet
division of Time Warner (previously AOL Time Warner), is the world's largest Internet access provider with some 25
million subscribers using its service. The AOL proprietary network offers content, communication tools, and online
shopping, among other services. It also owns Compuserve Interactive Services and has operations in foreign countries.
The subsidiary is struggling in the wake of an industry−wide downturn. Under the leadership of CEO Jon Miller America
Online is restructuring by cutting costs and emphasizing its "bring your own access" subscription−only content.
In addition to Internet access, users get a wealth of content and services on its proprietary network, including news, sports,
and entertainment channels; online chat and instant messaging; and e−mail. Outside the US, America Online offers
Internet service to some 9 million people through operations in 13 countries. However, America Online is rappidly losing
dial−up subscribers, and the company is instead focusing on selling content and services without Internet access. America
Online has signed an agreement with Covad Communications Group to sell high−speed Internet access and services that it
hopes will be more profitable than earlier deals.
America Online owns several online businesses not associated with its proprietary network. Its Mapquest provides online
maps for both consumers and businesses, and Digital City offers localized content covering some 30,000 cities, towns,
and neighborhoods. Nearly 140 million people use instant messaging software from its ICQ unit (mostly outside the US),
and its music offerings include the popular Winamp MP3 audio player and SHOUTcast streaming audio service. America
Online has also launched its co−branded music subscription service with MusicNet.
In the wake of an industry−wide downturn marked by the dot−com crash, a decline in subscribers and ad sales, and
increased competition from other broadband operators and low−price dial−up services, the troubled Time Warner business
segment is facing questions about its accounting practices. Reports also surfaced stating that it had inflated its subscriber

to prevent the division −− once characterized as the "crown jewel" of Time Warner −− from further hindering the parent
company's growth. In 2003 AOL Time Warner changed its name to Time Warner with the hopes that dropping the "AOL"
will boost the tarnished image created by the merger.
In accordance with its restructuring plan, America Online has adopted a business strategy that focuses on content. This
strategy includes a "Bring Your Own Access" plan, which charges those who subscribe to a rival company's high−speed
service an additional monthly fee to access more original content from Time Warner properties such as CNN, Time Inc.,
Warner Music Group, Warner Brothers Entertainment, New Line, and HBO. America Online is focusing on outside
content as well; it has partnered with the National Football League to offer subscribers NFL broadcasts online.
America Online is expanding its product offerings. It is marketing software that features more elaborate e−mail, instant
messaging, and online search functions under the name AOL Communicator. Other plans include an online store to sell
videos, DVDs, and music CDs; a personals site, Love.com, built around its free AOL Instant Messenger service; a Web
log (blogging) service called AOL Journals; and a no−frills discount dial−up service under its Netscape brand to compete
with its lower−priced rivals.
The struggling division is also executing multiple rounds of layoffs. In late 2003 it consolidated its software development
operations in Irvine and Mountain View, California, closing offices in San Francisco and San Diego.

History
Stephen Case was developing new pizzas for Pizza Hut in the early 1980s when he began using an online service called
The Source. Believing the technology had possibilities, he took a marketing job in 1983 with Control Video, which ran an
online service for users of Atari computer games. When Control Video ran into trouble, Case helped the new CEO, Jim
Kimsey, raise money (venture capitalist Alan Patricof was among the investors). In 1985 the company, rechristened
Quantum Computer Services, launched the Q−Link online service. Four years later it unveiled a nationwide service called
America Online and in 1991 the company took the moniker as its new name.
America Online went public in 1992 and Case became CEO the next year. The company spent heavily on marketing in an
effort to pass rivals Prodigy and CompuServe and unveiled a Windows−based version of its online software that year.
Early investor and Microsoft co−founder Paul Allen sold his 24.9% stake in America Online in 1994 when the company
denied him a seat on its board. That year it bought browser software maker Booklink Technologies. Before the end of the
year, more than 1 million people subscribed to the AOL service.
In 1995 America Online teamed with Bertelsmann to form AOL Europe. The following year it created subsidiary AOL
Canada and partnered with Mitsui and Nikkei to launch AOL Japan. Also in 1996 America Online began charging a flat
rate for its AOL service; subscriptions exploded but the added traffic clogged the company's network. Bob Pittman
(founder of MTV) was appointed president and COO the next year and scaled back the company's marketing campaign to
focus on solving its network problems. In 1998 America Online sold its network services operations to WorldCom in
exchange for CompuServe's online services division and $147 million in cash. The company continued expanding
internationally, forming America Online Latin America with the Cisneros Group.
In 1999 America Online acquired Web browser maker Netscape Communications for about $10 billion. The deal fortified
its joint venture with Sun Microsystems, through which the two companies agreed to develop enterprise software. The
company also invested $800 million in Gateway as part of a joint−marketing pact and agreed to launch a co−branded
Internet service with Wal−Mart.
The deal of the century came in early 2000 when America Online announced it would acquire media giant Time Warner.
After a year of regulatory scrutiny, the $106 billion deal closed in 2001, creating AOL Time Warner. Case became
chairman of the new company, while America Online became a division led by Barry Schuler, formerly president of the
Interactive Services Group.
Also that year America Online agreed to purchase Bertelsmann's 50% stake in AOL Europe and formed a joint venture
with computer maker Legend Group Limited to develop online services in China. America Online invested about $100
million in Amazon.com as the companies' expanded their marketing relationship.
Post−merger, the America Online division showed a slowdown in revenue because of fewer ad dollars earned and slower
subscriber growth. As a result, in 2001 America Online embarked on a reorganization that included tighter integration of
its numerous interactive services and about 1,700 job cuts. It terminated its Sun Microsystems joint venture, iPlanet, as
well.
In 2002 AOL Time Warner filed an antitrust suit against Microsoft alleging that the software giant unfairly crushed
Netscape with its Internet Explorer offering. Also in 2002 Schuler left America Online to head a new digital products
development venture for parent AOL Time Warner. He was replaced by AOL Time Warner COO Robert Pittman, who
resigned under pressure only months after he was sent to help lead the company's recovery. He was replaced by Jon
Miller, previously a top executive at USA Interactive (now InterActiveCorp) who is overseeing a corporate
reorganization.
Amidst shareholders' criticism of the merged parent company's performance, Case (widely regarded as the merger's chief
architect and proponent) resigned as chairman of the parent company in early 2003. He remains on the board of directors.
Later that year Microsoft and AOL Time Warner settled their anti−trust suit; Microsoft agreed to pay AOL Time Warner

$750 million. Months later the parent company dropped the three letters "AOL" from its name to become Time Warner.
