SKA WORK PACKAGE CONSORTIUM (SKA-WPC) LETTER OF INTENT TO ESTABLISH A CONSORTIUM AGREEMENT & COMMIT RESOURCES TO THE SKA [WPNAME] CONSORTIUM (SKA-WPC) This Letter of Intent concerns the establishment of the Consortium for the WPNAME element of the SKA, to be known as the “SKA [WPNAME] Consortium” (SKA-WPC). The SKA-WPC is responding to the Request for Proposals by the SKA Organisation as a single entity on 10 June 2013 with [Name] identified as the Lead Organisation. This Letter of Intent confirms the willingness of all identified Parties to participate in the SKA-WPC and provides surety of capability to deliver on commitments detailed in the SKA-WPC work plans contained in the response to the RfP. Purpose The purpose of the design activities is to prepare the SKA project at the Element Level to proceed with the construction of the first phase of the SKA telescope (SKA1). The design activities undertaken by the Consortium shall not restrict future competitive procurement of the elements or the constituent components. Two stages are identified in the Preconstruction phase: Stage 1 is a requirements analysis and preliminary design stage and Stage 2 is a detailed design stage. The RfP covers both stages and the SKA-WPC Consortium is established for both Stages of the Pre-construction Phase. Effective Date and Duration This Letter of Intent is effective upon signature and will expire when the Consortium Agreement enters into force, or if the SKA-WPC response is rejected by the SKA Organisation. This Letter of Intent may be extended by mutual consent of the Parties. Working Language English is the working language. Parties The parties to this Letter of Intent are the SKA-WPC participants as at the submission of the response to the RfP. The SKA-WPC has determined that there will be two categories of Parties to the SKA-WPC Consortium Agreement 1. Full Partner 2. Associate Partner Definitions of the above terms can be found in (here or in the draft Consortium Agreement for SKAWPC). Individual statements from the Parties follow. SKA [WPNAME] CONSORTIUM (SKA-WPC) Partner: [Name] [Name] confirms its intention to participate as a Full [Associate] Partner in the SKA-WPC as detailed in the RfP response, - For the duration of the Preconstruction phase of the SKA telescope development at element level (i.e. Stage 1 and Stage 2), With the intention of entering into a negotiated Consortium Agreement between the SKAWPC Partners and the SKA Organisation, Contributing the resources and named expertise as detailed below Notwithstanding the above, contributions and participation in the SKA-WPC are subject to the following conditions: A) That changes in scope to the work of SKA-WPC allows all Partners to revise commitments with an expectation that the conclusion of Stage 1 may present this situation, B) That the Partner is under no obligation to extend its commitments due to e.g. withdrawal or failure of another Partner, C) That the commitments are made in good faith but may be subject to unforeseen events beyond its immediate control, and [D) That [Organisation Name] receives additional funding after the initial guaranteed funding period for [Organisation Name]’s SKA pre-construction activity.
