Specification of Negotiated Rate and Term During the fifteen (15) year primary term of this Service Agreement, Buyer shall pay a negotiated monthly reservation rate equal to Seller's generally applicable rates for firm transportation service rendered pursuant to Rate Schedule FT and Part 284 of the FERC's regulations (i.e.,
Seller's generally applicable system FT rates in effect from time to time) for firm transportation from the receipt point(s) to the delivery point(s) set forth in Exhibit A and and B hereto. If for any reason the negotiated monthly reservation rate (excluding the ACA and GRI surcharges and
fuel) exceeds a rate, on an equivalent 100% load factor per unit basis, of (i) $0.35 per dt for firm transportation from Seller's Station 65 in St. Helena Parish, Louisiana, or from secondary receipt points located in Seller's Rate Zone 3 upstream of Station 65, to mainline delivery points in
North Carolina ("Station 65 Rate") or (ii) $0.30 per dt for firm transportation from Seller's Destin interconnect in Clarke County, Mississippi, or from receipt points located downstream of the Destin interconnect or secondary receipt points located in Seller's Rate Zone 4 upstream of the of
the Destin interconnect, to mainline delivery points in Seller's Rate Zone 5 upstream of the discharge side of Seller's Station 165 ("Destin Rate"), Seller will discount the reservation and commodity components of its applicable rate such that Buyer will not be charged rates during the
fifteen (15) year primary term of this Service Agreement in excess of the Station 65 and Destin Rates, as applicable (with the allocation of any such discount between the reservation and commodity components being in the same proportion that Seller's fixed transmission costs included
in its then-effective Rate Schedule FT Part 284 system rates are allocated between reservation and commodity).
If (a) Seller agrees under Sundance or any expansion project placed into service subsequent thereto to charge a third party a discounted rate for firm transportation service from any of the receipt points specified in this Service Agreement to any delivery point(s) on Seller¿s mainline in
Seller¿s Rate Zone 5, (b) such rate is lower than the rate being charged Buyer for firm transportation service under this Service Agreement, and (c) Buyer agrees to the same applicable terms and conditions that such third party agreed to for its lower rate and its firm transportation
service, then for the term of the lower rate agreed to with the third party Seller will discount its applicable rate to Buyer under this Service Agreement to match such lower rate.
Seller will agree, upon request by Buyer prior to the end of the 15-year primary term, to extend the primary term for an additional five (5) year term, subject to a second five (5) year extension upon request by Buyer prior to the end of the first five (5)-year extension. The rate
agreements set forth above shall apply only during the primary term of this Service Agreement, as such primary term may be extended pursuant to the foregoing sentence.
