Proposed Amendments to the
Bylaws of Copper Country Community Mental Health Services Authority
ARTICLE II
BOARD OF DIRECTORS
Section 2: Number and Terms of Directors. Terms of Directors will be staggered, with four (4) Directors
being appointed in each year. Terms shall commence on the first day of April and shall continue for
three (3) years. In the case of a vacancy occurring because of death, resignation, or removal, the
vacancy shall be filled for the unexpired remainder of the term in the same manner as for original
appointments.
Section 3: Method of Election: Qualifications. At least one-third (1/3) of the Directors shall be primary
consumers or a parent, stepparent, spouse, sibling, child, or grandparent of a primary consumer, or an
individual upon whom a primary consumer is dependent for at least one-half (1/2) of his or her financial
support. Of that one-third (1/3), at least two (2) members shall be primary consumers.
ARTICLE III
OFFICERS
Section 6. Treasurer.
The treasurer will oversee the management of the Authority’s funds. The treasurer
shall be kept advised of the investment of surplus funds as permitted by law. The treasurer shall consult with
the Chief Executive Officer or the Chief Financial Officer relative to various matters including, but not limited to,
deposits, investments and budgeting for the Authority. The Treasurer shall serve ex-officio as Chairperson of
the Finance Committee of the Board.
ARTICLE IV
GENERAL PROVISIONS
Section 5 Compliance with OMA and FOIA: As a public governmental body, the Authority is subject to the
Open Meetings Act, MCL 15.261et seq., and the Freedom of Information Act, MCL 15.231 et seq.
ARTICLE V
CERTIFICATE
. I, , certify that at a duly called meeting of the Board of Directors of Copper Country
Community Mental Health Services Authority called for that purpose and held on at which a quorum
sufficient for the conduct of business was present, on a motion by and supported by , these Bylaws
were adopted with the affirmative vote of a majority of Directors then serving and eligible to vote.
