GENERAL PARTNERSHIP AGREEMENT
THIS PARTNERSHIP AGREEMENT is entered into on October 18th, 2016 between
the following entities:

1. Partnership. The above-named entities agree that upon the commencement date of this
partnership, they shall be deemed to have become partners in business.
The school will be inserted into the network of Secondary Catholic schools coordinated by Kiswila
Mineral co ltd called Mary Queen Net. The school will show this logo at any place where the name of
the school is shown.
This partnership will be implemented in two phases


First Phase: Advertising and promotion to increase the number of students, improving the
quality of the didactic offer while reinforcing the Catholic characterization of the school. In
order to reach this target, Kiswila will appoint either the Head Master/Mistress or the Second
Master/Mistress. At the same time a more comprehensive partner agreement will be elaborated
either a rental or a partial/total purchase agreement. The present agreement covers just this
phase and provide the base for the more comprehensive phase 2 collaboration
Second Phase: Investment. Informatization of the school education and administration.
Improving and extension of facilities. Investment in new equipment and lab tools. This phase
will start after either a rental or a partial / total purchase agreement has been executed.
The purposes, terms and conditions of this partnership are as follows:
2. Principal place of business - The principal place of business of the partnership shall be Tanzania

create and exploit any possible synergy to be in a position to improve the didactic offer, to reinforce
the Catholic characterization of the school and to reduce fees. A coordination and strict collaboration is

4. Term - The partnership shall commence on and continue until dissolved by mutual agreement of the
partners or if a rental / purchase agreement being executed
5. Partnership contributions and returns. The following table represents roles, responsibilities
and returns for each partner both for Phase 1 and Phase 2. Phase 2 is not regulated by the
present agreement but it will stem by a rental / purchase agreement to be executed by the
parties
