With the exception of Specially Treated Cured Steel Slag Sub Base, Steel Slag is not recommended for use in
contained applications, such as under concrete or asphalt.
Steel Slag Aggregate is never recommended for use under footings, foundations or building slabs.

“Seller” (Harsco Metals) agrees to quote the prices above to the “Buyer” (the Company to which this price
quotation letter is addressed) are subject to the following terms and conditions:
•
All quotations made and orders received applying thereto are subject to approval of Seller’s Credit Department. Please
note the above prices are NET terms, and tons are short tons (2000 lbs.). Weights will be determined on Sellers’s scale at
the time of loading. Credit terms for all invoices are payable net 30 days from the date of the invoice. Any outstanding
balance over 30 days will be assessed a finance charge of 1% per month.
•
Title to material and risk of loss will pass to Buyers at the time material is loaded into shipping vehicle.
•
The Seller warrants that it has the right to market and sell product. Except as otherwise specifically set forth herein, the
Seller does not warrant the availability of products and the parties agree that the implied warranty of merchantability and all
other warranties, express or implied, are excluded from this transaction and shall not apply to the product sold. The Buyer
states that he has examined the goods for defects and accepts them as is and with all faults.
•
The parties agree to defend, indemnify, and save harmless each other from and against any and all judgments, claims,
and demands for loss of or damage to property, or injury or death to persons, including, without limitation, employees,
officers, and agents of each when such loss, damage injury or death results from the sole negligence of the other. The
Buyer and Seller agree that if any loss, damage and/or liability results from the joint or concurrent negligence or other fault
of both parties hereto, Buyer and Seller shall each bear such loss and expense in an amount equal to their respective
percentage of fault. In no event shall either party be responsible for any special, consequential or incidental damages
resulting from the performance of this Agreement.
•
Buyer may, from time to time, issue purchase orders to Seller for the administrative purpose of internal implementation or
control of this sale. Any terms and conditions contained in such purchase orders shall not be binding on or enforceable by
either of the parties hereto, regardless of whether or not receipt of such purchase order is acknowledged by Seller.
•
This agreement represents the entire agreement and understanding between Buyer and Seller and supersedes all prior
agreements between the parties relating to the subject matter hereof. This Agreement shall not be amended or modified
unless such amendment or modification is in writing and signed by authorized representatives of Seller and Buyer.
•
No price listed above will remain valid past February 28, 2017, unless agreed to in writing by the Seller.
