OVERSEAS AGENCY AGREEMENT
An Agreement is hereby signed between Win & Win Global Logistics Limited
And:

To cover the following:
1. The agreement is effective since ......
2 Both parties will conduct business with mutual representation on a NONEXCLUSIVE basis under reciprocal matter.
3. Unless pre-arrangement has been made and agreed upon by both parties, all
incoming Master Air Waybill should be prepared on a “PREPAID” basis; Master
Ocean Bill of Lading will be negotiated case by case.
4. Both parties agree to provide each other with reasonable, market-competitive
freight rate obtained from respective major airlines or ocean liner. It is also
understood that both parties, upon their limitations, should provide each other with
“SALES LEAD”.
5. On shipment under routing order, both parties agree to share the profit made
on each shipment on a 50%/50% (fifty percent) basis. Calculation of profit would
be resulting from difference between Buying Cost and Selling Revenue.
6. Both parties agree to settle through Telegraph Transfer to each other all
outstanding balance arises from business transactions of the previous month on
the 15th day of present month. An example of such is that March payment of any
year due each other should be paid in full by the 15th day of April of the same year.
The Credit Limitation is USD**** (US Dollar **** Thousands) and the excess
portion should be arranged in advance and immediately.
In view of giving clear picture for the accounting sector; the agents implement
the
standard procedure AS FOLLOW; The agents confirm they have carefully read and
understand the content. The procedure will be taking effective upon sign-off the
Agency Agreement.

Each office of the agents will send out the monthly statement on/before 7th of
the following month, covering all debits and credits amount of transaction in
previous month,based on INVOICE DATE.

The confirmation of monthly statement from both parties are required.
If there is
no CONFIRMATION received in 5days after sending the SOA, the statement will
be treated as in order.
And the future adjustment request is possible to be
rejected by both parties.

The payment must be made on/before 15th or no later than 25th ( as remedy if
settlement on 15th is failed for certain reason) on each month in full settlement of
outstanding amount
of
previous
month’s
statement , unless
there
is
pre-agreement reached by both parties.

All payment shall be made by swift transfer; and in case of particular cases, other
ways may be agreed such as West Union or Company check.


After a period of good cooperation, the agents will discuss to increase credit limit

gradually and revision of agency agreement or additional "Credit Application" will
be fulfilled.
7. Both parties will stipulate and agree upon the Break-Bulk Fee or Handling Fee
on any in-bound shipment.
8. This agreement will become and remain valid and binding on both parties until
and unless notice of termination in writing is received by either party sixty (60)
days prior to actual termination date.
