PUBLIC NOTICE OF A REQUEST FOR SEALED BIDS FOR THE PURCHASE OF THE FORMER STRODES MILLS MIDDLE SCHOOL BUILDING AND RELATED LANDS FROM THE MIFFLIN COUNTY SCHOOL DISTRICT NOTICE is given by the MIFFLIN COUNTY SCHOOL DISTRICT that it hereby solicits “sealed bids” to purchase the former Strodes Mills Middle School Building and the lands on which it is situated, as hereinafter noted, owned by the Mifflin County School District and determined to be unused and unnecessary lands, all pursuant to section 707(2), as amended [24 P.S. Section 7-707(2), of the Public School Code of 1949, Act of March 10, 1949, P.L. 30, Article VII, as amended, and pursuant to the Terms and Conditions of Sale as hereinafter set forth: Real Estate: All those certain pieces, parcels and tracts of land, together with the former Strodes Mills Middle School building and the buildings and improvements thereon and related lands, situated in the Township of Oliver, Mifflin County, Pennsylvania which property is more particularly described as Lot No. 2 on that certain Subdivision Plan for Mifflin County School District prepared by Wright Land Surveying and dated October 19, 2012, last revised August 22, 2013 and recorded on November 18, 2013 in the Office of the Recorder of Deeds in and for Mifflin County, Pennsylvania (the “Recorder’s Office”), as Instrument No. 2013-005795 (the “Property”), said Property being a part of Mifflin County Tax Parcel No. 19-14-107B and also being a part of the real property described in that certain Deed dated July 12, 1976 and recorded in the Recorder’s Office on July 13, 1976 in Deed Book 222 at Page 777. THE FOLLOWING TERMS AND CONDITIONS OF THE SALE SHALL APPLY: 1. The property to be sold is the former Strodes Middle School property, consisting of approximately 9.243 acres of land and the improvements thereon, located in Oliver Township, Mifflin County, Pennsylvania, which property is more particularly described as Lot No. 2 on that certain Subdivision Plan for Mifflin County School District prepared by Wright Land Surveying and dated October 19, 2012, last revised August 22, 2013 and recorded on November 18, 2013 in the Office of the Recorder of Deeds in and for Mifflin County, Pennsylvania (the “Recorder’s Office”), as Instrument No. 2013-005795 (the “Property”), said Property being a part of Mifflin County Tax Parcel No. 19-14-107B and also being a part of the real property described in that certain Deed dated July 12, 1976 and recorded in the Recorder’s Office on July 13, 1976 in Deed Book 222 at Page 777. 2. All sealed bids for the Property shall be delivered to the Office of the Chief Financial Officer of the Mifflin County School District, Administration Building, 201 Eighth Street, Highland Park, Lewistown, Pennsylvania 17044, no later than January 10, 2014 at 2:00 p.m., prevailing time, at which time and place all sealed bids will be opened. The successful bid will be awarded, or all bids will be rejected, at a date no later than the second regular (“voting”) meeting of the Board of School Directors held thereafter. Upon acceptance by the Board of School Directors, these Terms and Conditions shall be deemed 924325.1 a valid and binding contract with the successful bidder. The Board expressly reserves the right, in its sole and absolute discretion, to reject any and all bids for any reason. 3. Although not required for a bid to be considered, Bid Forms may be obtained by contacting the Office of the Chief Financial Officer of the Mifflin County School District, Administration Building, 201 Eighth Street, Highland Park, Lewistown, Pennsylvania 17044 or by phone at (717) 248-0148. 4. All sealed bids must be accompanied by a down payment or deposit in the form of a bidder’s certified check, bank treasurer’s check, bank money order, or a cashier’s check, drawn on a bank authorized to do business within the Commonwealth of Pennsylvania in an amount of no less than Five Thousand Dollars ($5000.00) and made payable to “Mifflin County School District” (the “Deposit”). The Deposit and the proceeds thereof shall be retained by the School District as liquidated damages should the successful bidder fail to make settlement on the transaction within the time and on the terms and conditions herein specified. All checks of unsuccessful bidders shall be returned by U.S. First Class Mail, posted within seven (7) business days after the awarding of the bid to the successful bidder by the Board of School Directors in public meeting or after the rejection of all bids by the Board of School Directors, as applicable. 5. Settlement on the sale of Property shall be held within forty-five (45) days after a successful bid has been awarded by the Board of School Directors, time being of the essence. Notwithstanding the foregoing, the period during which settlement must occur may be extended upon agreement between the successful bidder and the Board of School Directors, with any such extensions to be in sole discretion of the Board of School Directors. 6. All state and local realty transfer taxes imposed upon the transaction shall be paid by the successful bidder. 7. IT IS UNDERSTOOD AND AGREED THAT THE BOARD OF SCHOOL DIRECTORS IS NOT MAKING AND HAS NOT AT ANY TIME MADE ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND OR CHARACTER, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROPERTY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OR REPRESENTATIONS AS TO HABITABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL BIDDERS ACKNOWLEDGE AND AGREE THAT UPON SETTLEMENT THE SELLER SHALL SELL AND CONVEY TO THE BUYER AND THE BUYER SHALL ACCEPT THE PROPERTY “AS-IS, WHERE IS, WITH ALL FAULTS”. ALL BIDDERS ACKNOWLEDGE THAT THEY HAVE NOT RELIED ON AND WILL NOT RELY ON, AND THE BOARD OF SCHOOL DIRECTORS IS NOT LIABLE FOR OR BOUND BY, ANY EXPRESS OR IMPLIED WARRANTIES, GUARANTIES, STATEMENTS, REPRESENTATIONS OR INFORMATION PERTAINING TO THE PROPERTY OR RELATING THERETO, OR ANY AGENT REPRESENTING OR PURPORTING TO REPRESENT THE BOARD OF SCHOOL DIRECTORS, TO WHOMEVER MADE OR GIVEN, DIRECTLY OR INDIRECTLY, ORALLY OR IN WRITING. ALL BIDDERS AGREE, ACKNOWLEDGE AND REPRESENT THAT PRIOR TO SUBMITTING A BID HE/SHE/IT HAVE BEEN GIVEN THE OPPORTUNITY TO CONDUCT SUCH DUE DILIGENCE, INVESTIGATIONS, INSPECTIONS AND TESTING OF THE PROPERTY, INCLUDING BUT NOT LIMITED TO, THE STATE OF TITLE AND THE PHYSICAL AND ENVIRONMENTAL CONDITIONS OF THE PROPERTY, ALL AS THE BIDDER DEEMS NECESSARY OR DESIRABLE TO SATISFY HIMSELF/HERSELF/ITSELF AS TO THE CONDITION OF THE PROPERTY AND THE EXISTENCE OR NONEXISTENCE OR CURATIVE ACTION TO BE TAKEN WITH RESPECT TO THE PROPERTY, AND WILL RELY SOLELY UPON THE SAME AND NOT UPON ANY INFORMATION PROVIDED BY OR ON BEHALF OF THE BOARD OF SCHOOL DIRECTORS OR ITS AGENTS OR EMPLOYEES WITH RESPECT THERETO. ARRANGEMENTS FOR INSPECTION OF THE PROPERTY CAN BE MADE AS SET FORTH IN SECTION 10 BELOW. UPON SETTLEMENT, THE BUYER SHALL ASSUME THE RISK THAT ADVERSE MATTERS, INCLUDING BUT NOT LIMITED TO, CONSTRUCTION DEFECTS AND ADVERSE PHYSICAL AND ENVIRONMENTAL CONDITIONS, MAY NOT BE REVEALED BY BUYER’S INVESTIGATIONS, AND BUYER, UPON SETTLEMENT, SHALL BE DEEMED TO HAVE WAIVED, RELINQUISHED AND RELEASED THE BOARD OF SCHOOL DIRECTORS (AND ITS AGENTS, SUCCESSORS AND ASSIGNS) FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION (INCLUDING CAUSES OF ACTION IN TORT), LOSSES, DAMAGES, LIABILITIES, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) OF ANY AND EVERY KIND OR CHARACTER, KNOWN OR UNKNOWN, WHICH BUYER MIGHT HAVE ASSERTED OR ALLEGED AGAINST THE BOARD OF SCHOOL DIRECTORS (AND ITS AGENTS, SUCCESSORS AND ASSIGNS) AT ANY TIME BY REASON OF OR ARISING OUT OF ANY LATENT OR PATENT CONSTRUCTION DEFECTS OR PHYSICAL CONDITIONS, VIOLATIONS OF ANY APPLICABLE LAWS AND ANY AND ALL OTHER ACTS, OMISSIONS, EVENTS, CIRCUMSTANCES OR MATTERS REGARDING THE PROPERTY. 8. Conveyance shall be by Deed without warranty. 9. Interested bidders are advised to investigate all applicable portions of any relevant Oliver Township Ordinances and other local, state and federal codes, regulations, ordinances and laws which may be applicable, specifically including but not limited to any subdivision, land development and zoning ordinances. 10. Any interested party may inspect the Property by appointment by contacting Dallas L. Stahlman, Director of Buildings and Grounds, at 717-242-0262 between the hours of 8:00am and 3:00pm Monday through Friday. 11. This solicitation for “sealed bids” for sale of the aforesaid real estate, including any building or buildings thereon, by the Mifflin County School District, is as provided and authorized by §707(2) [24 P.S. §7-707(2)] of the Public School Code of 1949, Act of March 10, 1949, P.S. 30, Article VII, as amended.
