CONSTITUTION
OF
RICHBONE INITIATIVE FOUNDATION
INTRODUCTION
Richbone Initiative Foundation has been formed as an association to serve the needs of
humanity especially the poor and needy.
ARTICLE 1: LEGAL STATUS
The Association is registered as a non-profit organization (NGO) in Ghana and will be
registered in other countries when its operations expand beyond Ghana’s boundaries.
ARTICLF2: MISSION
The Mission of the Association is to help improve the quality of life of underprivileged
people by providing them with training and information that will empower them to address
issued relating to health care, Education, Agricultural, poverty alteration, children’s right
and social development.
ARTICLE 3: OBJECTIVES
Rural development peacemakers, poverty alleviation, child Neglecting, enhancing children’s
right and social welfare.
4.1.
NETWORKING
The Association hopes to achieve its objectives through the following activities.
a.
From partnerships and facilitate exchange visits between international NGOs
b.
Participate in campaigns to draw attention to cultural an artistic issue in Ghana.
c.
Understudy other NGO’s and adapt their best practices in NGO management
d.
Organize and participate in international national and regional seminars, conferences,
conventions, workshop, Exhibition, symposia, training courses and fora
e.
Provide consultation technical assistance and resources for national and international
organizations to promote development.
f.
Initiate and encourage educational programs to ensure maximum public professional
and government understanding of the needs of people
g.
Collaborate with public and private organizations that have the resources or
capacity to contribute towards the association objectives
ARTICLES 3: ORGANIZATION STRUCTURE
5.1. Executive Committee
The Executive Committee is the paramount organ of the Association. The Executive
Committee has the authority to manage the affairs of the International Artistic
Organization.
5.2 Composition of Executive Committee
The Executive Committee shall consist of not more than four (4) persons including the
Executive Director who will act in various capacities to be designated in consultation
with the Executive Director. Director will be assigned responsibilities bases on their
expertise.
5.3 Designations:
The designation/titles of executive committee members shall be as follows:

5.4 QUALIFICATIONS OF EXECUTIVE COMMITTEE MEMBER;

Must be a law-abiding person
b.
Having the expertise in relation to the scope of operations of the association.
c.
Healthy, knowledgeable and competent
d.
Must have no criminal record
e. God fearing compassionate and trustworthy
5.5 Authority Functions and Responsibilities of Executive Committee:
a. To develop policies long-term strategies and operational plans.
b. To raise funds for economic and community development as well to receive
donations and aids from international NGOs on behalf of its members.
c. To recruit employees to work at the association secretariat.
d. To formulate internal working procedures.
e. To sign and conclude agreements with international NGOs on behalf of the
association.
f. To review verify and accept membership applications.
g. To issue membership certification to applicants that are deemed qualified.
h. To Canvass for membership and volunteers.
i. To appoint council of advisors and patrons.
j. To appoint national regional and district leaders.
k. To manage coordinate and monitor projects initiated by the association
l. To review policies and implement resolutions.
m. To determine allowances salaries and wages of the Association executive members
employees and council members.
n. To formulate and amend the constitution of the Association
o. To review mandatory reports and financial statements
p. To decide on the termination of agreements, partnerships and contracts,

r. To approve plans and budgets.
s. To ensure accountability and transparency of the Association activities
t. Ensure that the Association has sufficient resources to operate.

v. Deal with any other matters that may arise from time to time.
5.6 The Executive Director’s Authority and Functions Includes:

To hold and preside over meetings of the EC.
To deal with important issues on behalf of the Association
To act as the chief spokesperson for the Association network
To represent the association at seminars symposia etc
5.7 Executive Committee Meetings
a. The Executive Committee (EC), shall meet at least once in every three months (i.e.
quarterly)
b. Prior to the Associations, Annual General Meetings (AGM) the EC shall meet to
review the activities and progress made since the last Annual General Meeting and to
prepare the agenda for the AGM.
c. The Executive Committee decisions shall be decided by majority vote.
d. The Executive Committee meeting shall be chaired by the Executive Director in his
absence one executive member nominated by him shall chair the meeting.
e. Meetings of the Executive Committee may be held in person or by e-mail or by audio
or audio/visual electronic means.
f. Meetings may be convened by notice in writing served on all members of the EC or
through phone calls
g. The Executive Committee may meet or adjourn or otherwise regulate its meeting as it
deems it fit.
