EXHIBIT A AFFILIATE GUIDELINES As used within this Exhibit A, the term “you” means (i) that certain Media Company set forth in the Agreement to which these Affiliate Guidelines have been incorporated as Exhibit A, and (ii_ Media Company’s Downstream Affiliates. 1. You are not allowed to use of any Mindspark Interactive Network intellectual property, other than the creatives made available to you. You may NOT use any screenshots of pages nor copyrighted material or content for any of the following brands (this representative list may be updated by Mindspark from time‐to‐time): Smiley Central®, Zwinky™, Webfetti™, Kazulah™, Popular Screensavers™, MyFunCards™, Cursor Mania™, iWon®, Girlsense™, Life123™, or Vimeo™. You must ask our written convsent for any use of our web page screenshots or other content. 2. You may not register or use a domain name, or use URLs which contain the following terms: Smiley Cetral; smileycentral Popular Screensavers Webfetti Zwinky; Zwinkies MyFunCards; my fun cards Cursor Mania; cursormania Girlsense; Girl sense Vimeo iWon; I won; I win Life123; Life 123 Kazulah Mindspark 3. You may not outbid Mindspark in Search Enging Marketing, i.e. your ads may not have a higher ranking than an official FWP listing. You may not direct traffic from any search engine directly to the landing page URL. All traffic must be directed through your own Intermediary site, and our URLs must not be used as the “Display URL” in your ad copy, nor be in the title or description of your ad. E.g. Get 10,000_ Free Smileys for Email, IMs SmileyCentral.com (not ok) – Express your love with animated Smile faces… www.smileycentral.com (not ok) E.g. SmileyCentral.com (not ok) Choose From Thousands of Emotions Absolutely Free at Emotions.com www.emotions.com 4. The content of your site or web pages or application may not be targeted targeted towards children under thirteen years of age 5. You may not place our ad creatives or links to our web pages in unsolicited email and other types of spam 6. You may not interfere with our toolbar installation process in any manner. Practices such as invisible methods to generate a download or a click through to our web pages are strictly forbidden. All clicks or downloads must be initiated by affirmative end‐user actions. 7. You may not bundle our toolbar with other products or downloadable applications without Mindspark’s prior written consent, to be provided or withheld at Mindspark’s sole and absolute discretion. 8. You may not condition the download of our toolbar upon any other download, action, or end‐user act without Mindspark’s prior written consent, to be provided or withheld at Mindspark’s sole and absolute discretion. 9. You may not limit the functionality of our toolbar or make its functionalities dependent upon any other download, action, or end‐user act without Mindspark’s prior written consent, to be provided or withheld at Mindspark’s sole and absolute discretion. 10. You may not cause our ad creatives to be displayed through downloadable applications that cause advertisements to pop up outside of the use of the application (adware)or that collects information about users and their behavior on the internet (spyware). You may not engage in pop‐up or pop‐under advertising using any means involving third party software or websites. Pop up/unders delivered through downloadable software cannot engage in means that force clicks or perform redirects, or pop over a pay‐per‐click listing or natural search results. You may not display our ad creatives using any device, program, robot, Iframes, or hidden frames. 11. You may not mislead users on the nature of our products. Representations about our toolbars must comply with the following rules: a. You may not characterize the features of the product as “free” unless you add a disclaimer referring to the downloadable toolbar that needs to be installed for use of the products, E.g. [IMAGE] b. You may not make any representation about the safety of our products other than: “No Adware”; “No Spyware”. You may not discuss any safety aspects of any Zwinky feature. c. You may not make any representations about the compatibility of our products with other programs or web sites other than as follows: i. Smiley Central: Accessible from your browser, email and IM ii. Zwinky: ‐ Works well with social sites like My Space, Hi5 and Blogger. ‐ Compatible with most IM, Email & Blog applications ‐ Accessible from your system tray, email and IM iii. Webfetti: ‐ Accessible from your browser, email and IM ‐ Works well with social sites like My Space, Hi5 and Blogger EXHIBIT B PROHIBITED NETWORKS AND DISTRIBUTORS Mindspark Interactive Network’ services and/or products must not be advertise on, syndicated to, or otherwise distributed through, any web property or application owned or operated by any of the following companies (or their corporate alter egos, DBAz, controlled subsidiaries, etc.). Media vendors and affiliate networks working with Mindspark are responsible for ensuring that none of the below companies are members of their affiliate network (including downstream affiliates and subaffiliates thereof). In addition, Media vendors and affiliate networks working with Mindspark shall not, and shall ensure that each member of their affiliate network does not display Mindspark’s advertising materials on or through Adware, Spyware or Drive‐by Download applications.
