MINIMUM ADVERTISED PRICE POLICY

The purpose of this Policy is to strengthen and reinforce Dual’s value added product position
and Dual brand image in a highly competitive marketplace. Certain advertising and promoting
of Dual products can be inconsistent with these objectives. Specifically, it has been determined
that print and electronic media pricing can potentially cause adverse effects to these goals and
the perception of the Dual product line. Therefore, Dual has unilaterally created the following
Minimum Advertised Price (“MAP”) Policy regarding United States advertising of certain
designated Dual products.
“MAP” pricing for Dual products can be found in the attached Schedule A or in Dual’s published
price schedules. All advertised prices must be at or above “MAP” if a “MAP” price has been
established by Dual. Not all products have a “MAP” price associated with it. If a “MAP” price is
not listed, then the Dealer/Distributor is free to advertise the unit at any price they are
comfortable with. “Advertising” or “advertise” as used in this Policy refers to print and electronic
media, such as newspapers, magazines, direct mail, auction sites, catalogs and flyers, radio,
television, Internet or any similar mass media.

This Policy applies to advertising such as “10% off all products in our catalog or flyer”, “call
for price”, “buy one get one free”, etc.

This Policy applies to any reference to discounts, Dealer/Distributor initiated rebates, gift
certificates or free product that, when deducted from the advertised price, reduces the net
price of the advertised Dual product below Dual’s “MAP” price. Installation labor or services
and factory authorized promotions are exempt from this Policy.
Violations of this Policy shall result in the following:
First Violation-Dealer/Distributor will receive a written letter of warning from Dual stating that
the violation be immediately corrected. In the event the violation took place on
Deale/Distributor’s website, the Dealer/Distributor will have 3 business days upon written
warning to correct the violation. Failure to comply within 3 business days will immediately
constitute a Second violation.
Second Violation-Dual will cancel all Dealers/Distributor’s orders for the non-compliant
product(s) and refuse to accept any new orders for said product(s) for a period of sixty (60) days
thereafter. In the event the violation took place on Dealer/Distributor’s website, the
Dealer/Distributor will have 3 business days upon written warning to correct the violation. Failure
to comply within 3 business days will immediately constitute a Third violation.
Third Violation-Dual will cancel all Dealers/Distributor’s orders for the non-compliant product(s)
and refuse to accept any new orders for said product(s) for a period of ninety (90) days
thereafter. In addition, any Co-op advertising or marketing allowances on purchases of noncompliant product(s) ninety (90) days prior to the violation will be forfeited.
Subsequent violations will result in Dual’s indefinite refusal to accept any new orders for ANY
product(s) covered by Dual’s Map Policy. Dual will use reasonable efforts to notify all
Dealer/Distributors of any price changes of product(s) covered by this Policy at least thirty (30)
days prior to the effective date of the price change.
From time to time, Dual may schedule a “MAP” holiday for a specific period of time when a
series of products can be advertised at any price. At the end of the “MAP” holiday the pricing
will automatically and immediately revert to the prior “MAP” pricing unless notified otherwise.
This Policy does not apply to in-store signage or verbal communication, nor does it apply to instore selling prices. Dealers/Distributors are free to unilaterally establish their own resale price
for Dual products. The Policy relates only to the prices at which a Dealer/Distributor may
advertise Dual products in print or electronic media.
Dual does not require any Dealer/Distributor to agree to this Policy, either in full or in part and
will not ask for, nor will it adopt any assurance of compliance or agreement from a
Dealer/Distributor regarding this Policy – compliance is an individual decision of each
Dealer/Distributor.
This Policy reflects Dual’s unilateral corporate decision. No employee or sales representative of
Dual has any authority to modify this Policy and any action of any person which purports to
modify this Policy or solicit or obtain agreement to the terms of the Policy is unauthorized and
invalid. Dealer/Distributor should promptly report any instance in which a Dual employee or
representative threatens repercussions if a Dealer/Distributor advertises or sells below “MAP”,
except as provided herein, or seeks an agreement as to the advertised or selling prices of any
product.
Dual reserves the right to modify or cancel this policy at any time, without prior notice.
