Lighthouse Laboratories is a re-emerging not for profit charity with a unique identity as Australia’s first animal free medical research institute. With refinement and restructuring tasks underway, governance infrastructure is one key aspect being re-developed. As such, Lighthouse is seeking expressions of interest from select community representatives with specific skills and interests. The roles are voluntary in nature; however, token honorarium payments will be considered from time to time in order to facilitate role stability. POSITION: Board Director x 2: Duties & Responsibilities: Collectively work with other board members to provide governance (e.g. performance and integrity oversight, control, compliance, strategy) in line with the objects and aims of the constitution and relevant requirements in context of Acts, laws, regulations, standards, guidelines, codes of conduct and best practice; whether that be in relation to industry, governments (federal, state and local) or other stakeholders. As a Director the candidate must familiarise themselves with responsibilities as detailed by the following bodies: Australian Securities & Investment Commission (ASIC), the Australian Charity & Not for Profit Commission (ACNC) and other bodies that provide licences and endorsements (e.g. State registries/regulators for matters pertaining to fundraising, research and operations, etc.). Essential Criteria: Skills and qualifications considered: Lawyer (commercial / corporate), Accountant (CPA), Clinician, Chief Executive Officer (of medium to large business operations) and Business Entrepreneurs. Formal qualifications with 5 years plus experience in their profession. Be permitted and prepared to apply their respective professional skills in his/her role with Lighthouse Laboratories. Willing and able, to register as a company director. Desirable Criteria: Previous work in the not for profit sector, in any capacity. Previous or current role, as a company director Interests that align with Lighthouse’s animal free policy and research themes. Able to commit in a voluntary capacity for one year and be prepared to assume responsibility in conjunction with role duties. Wiliness to partake in training programs for their role as required. POSITION: Sub-Board Members x 15: Duties & Responsibilities: The Sub- Boards will have dual purpose; primarily serving as advisory committees, the teams will also provide governance support/assistance to the Board Directors. Sub-Board members will have no formal company membership; however, candidates are encouraged to acquaint themselves with responsibilities that are conveyed by the Australian Securities & Investment Commission and the Australian Charity & Not for Profit Commission. (Please note, as formal Board membership opportunities become available, Sub-Board members will be invited to fill vacant positions.) Sub-Board (Operations) x 5 Task themes will relate to public relations, human resource, fundraising, administration, marketing & communications, facilities and resources, finance and assets plus, business strategy. Skill set preferences: Persons qualified and experienced in professions such as, human resource, marketing, accounting, legal, project management, business management, business executive, banking, financial planning, event coordinator, facilities management, entrepreneurs, fundraising management, . Other relevant skill sets will also be considered. Sub-Board (Compliance) x 5 Task themes will relate to ensuring the company remains versed and compliant with all relevant Acts, laws, regulations, standards, guidelines, codes of practice, best practice. In addition, members shall partake in evaluation and recommendations of annual reports and strategies in relation to policy, procedure, terms of reference, contracts (e.g. work place agreements, leasing contracts, intellectual property, confidentiality and non-disclosure agreements, etc.). Skill set preferences: Persons qualified and experienced in professions such as, legal, accounting, human resource, technical writing, auditing and regulation. Sub-Board (Science) x 5 Task themes will relate to research integrity (e.g. ethics, quality assurance, and best practice), safety & testing, strategy and planning, communication, education and training, facilities and assets, policy, standard operational procedure, terms of reference, etc. Skill set preferences: Persons qualified and experienced in professions that have a correlation with the medical research field. Essential Criteria: As per skill set preferences. Formal qualifications applicable to respective profession. Be permitted and prepared to apply their respective professional skills in his/her role with Lighthouse Laboratories. Desirable Criteria: Previous work in the not for profit sector (in any capacity). Experience on a committee. Interests that align with Lighthouse’s animal free policy and research themes. Able to commit in a voluntary capacity for one year and be prepared to assume responsibility in conjunction with role duties. Wiliness to partake in training programs for their role as required.
