CLIENT AGREEMENT This agreement is between ________________________________________ , (referred to as CL), and Stellar Performance Marketing, Incorporated, and is automatically effective on the date signed by CL's authorized representative. This agreement supercedes all previous agreements, written or oral, and each party agrees to all clauses and information set forth. Confidentiality CL and Stellar Performance Marketing agree to keep the terms of this agreement strictly confidential and neither party will make representations or warranties without prior consent of the other party. Stellar Performance Marketing agrees to keep any client's business information, data, and/or business practices and processes strictly confidential. Liability Stellar Performance Marketing shall indemnify and hold CL harmless against any and all loss, damages, expenses of litigation, and attorney's fees that may be asserted against CL by any companies referred to or supplied by Stellar Performance Marketing. Likewise, CL shall indemnify and hold Stellar Performance Marketing harmless against any and all loss, damages, expenses of litigation, and attorney's fees that may be asserted against Stellar Performance Marketing by companies that executed services for CL. Purpose Stellar Performance Marketing may assist in the placement of CL's telemarketing programs with various telemarketing companies. Stellar Performance Marketing may place a generic advertisement on the internet about CL's program(s) and may broadcast fax additional (generic) information about CL's program(s) to Stellar Performance Marketing's telemarketing companies' database. Internet and broadcast fax advertisements will not include CL's name or location. CL agrees to periodically make available to Stellar Performance Marketing any program related information. Such information may include statistical data for companies referred to CL such as; daily telemarketing reports, weekly reports, invoice information, and copies of payments, etc. CL acknowledges that Stellar Performance Marketing has a financial relationship with it’s registered telemarketing centers and CL agrees to not circumvent Stellar Performance Marketing in any way, at any time, for any reason. CL agrees to keep Stellar Performance fully informed of any and all programs, broker(s), and/or telemarketing center-related issues, including, but not necessarily limited to: Revenues, reports, telemarketing center statistics and supervisory personnel. Duration This agreement is automatically renewable annually, unless either party cancels with written notice, 60 days prior to each renewal date. For the duration of this agreement, any other projects offered to telemarketing centers introduced to CL by Stellar may have a separate commission structure and CL needs to inform Stellar Performance of these additional projects. CL will not contact any referred centers about other telemarketing projects without communicating with Stellar Performance first. Commission CL will not pay Stellar Performance Marketing, Inc., commissions for hourly-paid projects placed with telemarketing centers that Stellar introduces to CL. Timeshare or Travel Club clients agree to compensate Stellar Performance Marketing $5.00 per qualified show for centers that are referred to Client. A separate addendum to this agreement will be implemented for other per-sale or performance-compensated projects and a separate agreement or addendum may be exercised for different project(s).
