SUMMARY
One of the conditions of the Spin-off and the HKH Placing remain unfulfilled on 31 August 2000. It
is intended, subject to market conditions, to proceed with the Spin-off and the HKH Placing if the
unfulfilled condition is fulfilled on or before 31 October 2000.
Reference is made to the announcement (the "Announcement") of the Company dated 24 May 2000
in relation to the separate listing of the shares in HKH on GEM by way of the HKH Placing. An
application has been made to the Stock Exchange for listing of and permission to deal in the HKH
Shares on 23 May 2000. Terms defined in the Announcement bear the same meanings in this
announcement unless the context otherwise requires.
It was stated in the Announcement that the Spin-off would not proceed if the conditions of the
Spin-off are not fulfilled on or before 31 August 2000. One of the conditions of the Spin-off as set
out in the Announcement remain unfulfilled on 31 August 2000. This condition is the GEM Listing
Committee granting listing of, and permission to deal in, all the HKH Shares in issue and to be
issued pursuant to the HKH Placing and the Convertible Note. However, the Directors are

continuing to seek fulfillment of this condition and consider that the Spin-off remains in the interests
of the Company. They therefore intend, subject to market conditions, to proceed with the Spin-off
and the HKH Placing if the unfulfilled condition is fulfilled on or before 31 October 2000.
Another condition of the Spin-off and the HKH Placing is agreement and implementation of
refinancing arrangements with the Company's bank creditors. Agreement had been reached with the
relevant bank creditors and the arrangements are expected to be implemented concurrently with the
listing of HKH.
Further announcement(s) in relation to the progress of the Spin-off and the HKH Placing will be
made by the Company if and when necessary.
Shareholders, holders of warrants to subscribe for Shares and potential investors should note
that the Spin-off and the HKH Placing, which are subject to fulfillment of the unfulfilled
condition and to market conditions, may or may not proceed. Accordingly, they are reminded
to exercise caution when dealing in the securities of the Company.
