Noble Energy (the Company) believes active participation in the political process is essential to our
long-term success. The Company advances our public policy agenda through direct lobbying,
involvement in various trade associations, the Noble Energy Political Action Committee and
corporate political contributions.
All political activity by the Company is done to promote the interests of the Company and
contributions are made without regard for the private political preferences of any Company
employee or officer.
The Company maintains policies and procedures consistent with our Code of Conduct that support
continued compliance with applicable political laws and regulations. Political activity and trade
association engagement is subject to Board oversight and is reviewed on an annual basis by the
Board’s Corporate Governance and Nominating Committee. In addition, corporate political and PAC
spending are reviewed annually by the Vice President of Communications and Government
Relations to ensure compliance with our corporate policies
We are committed to transparency with regard to our political activity, and publish a Political
Activity Report, updated semi-annually, which outlines political contributions made by the
Company and Noble Energy Political Action Committee, lobbying expenses, and the portion of trade
association payments used for political purposes.
We believe the policies, guidelines and procedures that we have established will positively impact
the public policy discourse on matters of importance to the Company, our shareholders, and other
stakeholders.
