Asian Business and Economics Student Association (ABESA)
Constitution
October 2009 (Amended September 2011)
Article I
NAME
The name of the organization shall be Asian Business and Economics Student
Association (ABESA)
Article II
OBJECTIVE
The objective of the Asian Business & Economics Student Association to get students
involved in campus life, give them opportunity to develop leadership skills and network,
and to help them build a successful career.
Article III
MEMBERSHIP
The organization will comply with the University’s policies, including University
policies on non-discrimination.
Membership and participation in the organization are open to all enrolled University of
Wisconsin – Madison student who affirm that they support the organization’s goals and
agree with its beliefs. Members and officers are selected on the basis of commitment, to a
set of beliefs (e.g., religious or political beliefs). No student is excluded from
membership, officer positions, or participation on the basis of his or her race, color, creed
other than commitment to the beliefs of the organization, religion, national origin,
disability, ancestry, age, sexual orientation, pregnancy, marital status or parental status,
or, unless exempt under Title IX, sex.
There shall be two classes of membership: Active Member and Distinguished Member
1. The Active membership of the Asian Business and Economics Student
Association, University of Wisconsin—Madison shall be composed of students
currently enrolled in the University of Wisconsin – Madison and in good
standing.
Requirements for ACTIVE membership:
 Pay dues on time
 Attend at least two professional meetings
 Attend at least two social events
 Attend at least one fundraising event
 Attend at least one community service event
2. The Distinguished membership of the Asian Business and Economics Student
Association, University of Wisconsin—Madison shall be composed of students
that meet the following requirements:
 Pay dues on time
 Have an overall GPA of 2.5 or higher
 Have been active members of the Asian Business and Economics Student
Association, University of Wisconsin—Madison for at least one semester.
 Attend at least four professional meetings
 Attend at least three social events
 Attend at least two fundraising events
 Attend at least two community service events
The membership requirement may vary slightly from semester to semester. Decisions are
made by the president and the vice president, in consideration of the number of events
ABESA organize that semester.
Fiscal year and due collection
The fiscal year of the Asian Business and Economics Student Association, University of
Wisconsin—Madison shall be from January 1 to December 31, inclusive.
The amount of annual dues shall be determined each year by president, vice president and
treasurer.
Dues shall not exceed $ 80 per year.
Article IV
ELECTION OF OFFICERS
1. All candidates must be full-time student of the University of Wisconsin –
Madison.
2. All candidates should complete the application forms and submit to board
members of the Asian Business and Economics Student Association, University
of Wisconsin—Madison at least 2 days before the election.
3. Current board members of Asian Business and Economics Student Association,
University of Wisconsin—Madison will hold an internal election meeting, review
applications, and schedule interviews with distinguished members who apply for
Executive Board positions of the Asian Business and Economics Student
Association, University of Wisconsin—Madison.
3. Candidates will be evaluated based on:
 Involvements in ABESA’s events
 Suitability of working in the positions applied
 Qualities and completeness of board member application forms
 Performances in Executive Board interviews
4. Independent votes will be casted by the President, the Vice President, and
Advisor. Candidates receiving the most votes will be elected to become part of
ABESA Executive Board next semester.
5. The results of the board election will be announced at that semester’s End of
Semester Banquet.
Article V
OFFICERS
All Asian Business and Economics Student Association decisions are made by students at
the University of Wisconsin – Madison.
The Asian Business and Economics Student Association, University of Wisconsin—
Madison shall have a President, Vice President, Advisor, Secretary, Treasurer, Member
Relations Chair, Marketing Chair, Corporate Relations Chair (2), Community Service
Chair, and Social Chair. These officers comprise the Executive Board.
 All officers shall meet the following requirements:
 Shall be a student of the University of Wisconsin – Madison
 Shall be a distinguished member of the Asian Business and Economics
Student Association, University of Wisconsin—Madison
 Maintain a GPA of 2.5 or higher
 Any officer failing to perform his/her duties as outlined should be reviewed by
other board members of the Asian Business and Economics Student
Association, University of Wisconsin—Madison and receive appropriate
penalties.
 Show up for at least n-1/n general member meetings or upon request.
 Attend all board meetings. If not able to attend the meeting, notify President
or Vice President at least 24 hours in advance.
 Late and Absent Policies:
Officer title will be removed if:
1) Absent without notification for one board meeting. (*)
2) Late for board meeting for three times. (* )
* Five to fifteen minutes late will be considered late. After fifteen
minutes it will be considered absence.
 The term of office shall be one semester for all positions.
 Any vacancy that may occur in an office shall be filled by appointment by the
president pending ratification at the next general member meeting.
 Any officer may be removed from membership by a two-thirds vote of the
Executive Board. Any officer removed may appeal to the general membership.
Said officer shall be considered reinstated with two-thirds approval of the
members.
Article VI
DUTIES OF OFFICERS
The President shall:
1. Act as the chief executive officer
2. Direct the budget with approval of the executive board
3. Develop a comprehensive semester plan for the organization
4. Provide directions to the activities of all officers
5. Appoint officers to vacant positions in special cases
6. Ensure that the duties and obligations of all other officers are being completed
satisfactorily.
7. Enforce the Bylaws of the organization
The Vice President shall:
1. Act as the parliamentarian for the organization.
2. Assume the duties of the president should the office become vacant, or in the
absence of the president.
3. Keep the available current copies of the constitution.
4. Be responsible for assisting other Chairs and committee members in
completing their jobs.
5. Actively recruit future officers for the Board of Asian Business & Economics
Student Association
Advisor shall:
1. Provide feedback to the organization regarding its operation and functioning
2. Serve as a resource for Asian Business & Economics Student Association
3. Provide advice upon request
Secretary shall:
1. Take meeting minutes
2. Maintain record of all documents made in the past
3. Manage the e-mail account of the Asian Business and Economics Student
Association, University of Wisconsin—Madison along with the Member
Relations Chair
Treasurer shall:
1. Keep a current record of all financial transactions.
2. Prepare quarterly reports
3. Be responsible for checking the accuracy of all bills and invoices and paying
them correctly and on time.
4. Provide future planning in regards to ABESA’ s finances
5. Collect dues and all other payments to the organization
6. Maintain the bank account of ABESA
7. Disburse money to other officers for authorized uses
8. Perform other duties as directed by the president.
Member Relations Chair shall:
1. Act as the primary liaison between the members of ABESA and the officers
2. Work to answer any and all questions of the membership
3. Keep track of attendance at meetings for both members and pledges
4. Prepare the Distinguished Members list at the end of the semester
5. Perform other duties as directed by the president.
Marketing Chair shall:
1. Design and update the ABESA website
2. Provide and update digital records of the organization’s activities such as slide
decks, photographs, digital documents, or any other digital artifacts that will be
viewable on the website
3. Help other Chairs prepare member E-mail lists
4. Perform other duties as directed by the president.
Corporate Relations Chair shall:
1. Plan and organize all of ABESA’s corporate events
2. Inform the committee and the members of the upcoming events
3. Perform other duties as directed by the president.
Community Service Chair shall:
1. Plan and organize all of ABESA’s community service activities
2. Maintain an accurate record of active members’ and distinguished members’
community service hours
3. Perform other duties as directed by the president.
Social Chair shall:
1. Plan and organize all of ABESA’s social activities
2. Inform the committee and the members of the upcoming events
3. Perform other duties as directed by the president.
Article VII
MEETINGS
General meetings
1. The general meetings will be held at least once a month.
2. At least 14 days notice shall be given for each regular business meeting.
3. Attendance is to be taken at all meeting for pledges and members
4. Alcohol will not be served at events that are hosted, promoted, or sponsored by
the Asian Business and Economics Student Association
Special meetings
1.Special meetings may be called during the semester upon the approval of a
majority of the Executive Board.
Board of Director meetings
1.Meetings will be held at least monthly with the time to set at the discretion of
the President and Vice President
2.Notification of meeting must be made at least 48 hours in advance via email to
all members of the Board of Directors.
Rules of order
1. Rules of procedure for all meetings shall be in accordance with Robert’s Rules
of Order, except as provided otherwise in the Constitution. The student Vice
President shall serve as parliamentarian at all meetings.
2. A quorum for membership meetings will be achieved when half of the total
number of members (including both active and distinguished members)
3. A quorum for meetings of the Board of Directors to transact business will be
achieved when at least two-thirds of the Board members are present
